W <br /> WASTE MANAGEMENT <br /> 5.2 Subcontract Terms. Contractor shall cause every Subcontractor to enter into a written Subcontract with <br /> terms and conditions that require that every Subcontractor assume all of the duties toward the Contractor <br /> that Contractor assumes toward Owner under the Contract Documents. <br /> 5.3 Subcontract Assignment. Contractor hereby grants, transfers, and assigns to Owner all the right, title, <br /> and interest of Contractor in, to, and under any and all contracts which are now or hereafter entered into <br /> by Contractor in connection with the performance of the Work, including but not limited to all Subcontracts <br /> and, to the extent assignable, all leases entered into for equipment to be used in connection with the <br /> performance of the Work. The foregoing assignment shall be exercisable by Owner, at its election, in the <br /> event that Contractor is in default hereunder and Owner has exercised its right to terminate the Work or <br /> the Agreement in whole or in part, or to take control of the Project. Owner may reassign contracts to <br /> another contractor or any other person or entity, or to any construction lender, and such assignee may <br /> exercise Owner's rights in the contracts and Contractor shall cause each contract to so provide. <br /> Contractor shall ensure that each contract contains the consent of each such entity to the foregoing <br /> assignment. <br /> 5.4 Contractor Responsibility for Subcontractors. Contractor shall be fully responsible to Owner for all <br /> acts and omissions of Subcontractors and other persons and organizations performing or furnishing any <br /> of the Work under a direct or indirect contract with Contractor, regardless of tier. <br /> ARTICLE 6 <br /> Construction By Owner Or By Separate Contractors <br /> 6.1 Owner's Right to Perform Construction and to Award Separate Contracts <br /> 6.1.1 Owner reserves the right to perform construction operations related to the Project with Owner's <br /> own forces, and to award separate prime contracts in connection with other portions of the Project <br /> or other construction or operations on the Site under Conditions of the Agreement identical or <br /> substantially similar to these, including those portions related to insurance and waiver of <br /> subrogation. <br /> 6.1.2 When separate contracts are awarded for different portions of the construction or operations at <br /> the Site, the term "Contractor" in the Contract Documents in each case shall mean the entity <br /> which executes each separate agreement. <br /> 6.2 Coordination. Owner shall provide for coordination of the activities of Owner's own forces and of each <br /> Separate Contractor with the Work of Contractor, who shall cooperate with them. Contractor shall <br /> participate with other Separate Contractors and Owner in reviewing their construction schedules when <br /> directed to do so. Contractor shall make any revisions to the Construction Schedule and the Contract <br /> Price deemed necessary after a joint review and mutual agreement. The construction schedules shall <br /> then constitute the Construction Schedule to be used by Contractor, Separate Contractors, and Owner, <br /> until subsequently revised. <br /> 6.3 Mutual Responsibility. <br /> 6.3.1 Contractor shall afford to Owner and to Separate Contractors reasonable opportunity for <br /> introduction and storage of their materials and equipment and performance of their activities and <br /> shall coordinate the construction and operations with Separate Contractors as required by <br /> Contract Documents. <br /> 6.3.2 If part of Contractor's Work depends on proper execution of construction or operations by Owner <br /> or a Separate Contractor, Contractor shall, prior to proceeding with that portion of the Work, <br /> inspect such other work and promptly report to the Owner's Authorized Representative apparent <br /> discrepancies or defects in such other construction that would render it unsuitable for such proper <br /> execution of the Work. Failure of the Contractor to so report shall constitute an acknowledgment <br /> that Owner's or Separate Contractor's completed or partially completed construction is fit and <br /> proper to receive the Contractor's Work, except as to discrepancies or defects not then <br /> reasonably discoverable. <br /> 23 Jun-17 <br /> Ver.2.0 <br />
