W WASTE MANAGEMENT 2.3.2 Whenever the Owners' Representative becomes aware of any condition which poses a serious or imminent danger to the health or safety of the public or Owner's/Contractor's personnel, the Owner's Representative shall notify the Contractor orally, with written confirmation, and request immediate initiation of corrective action. This notice, when delivered to the Contractor or the Contractor's representative at the work site, shall be deemed sufficient notice of the noncompliance and that corrective action is required. After receiving the notice, the Contractor shall immediately take corrective action. If the Contractor fails or refuses to promptly take corrective action in the sole opinion of the Owner,the Owner's Representative may issue an order stopping all or part of the work until satisfactory corrective action has been taken. Work may resume only upon satisfactory corrective action by the Contractor and the issuance of a Resume Work Notice, provided at the sole discretion of the Owner. The Contractor shall not be entitled to any equitable adjustment of the contract price on any stop work order issued under this clause. The Contractor shall be entitled to an extension of the performance schedule equal to the length of the delay due to the stop work order. However, the Contractor shall be responsible for any and all third-party costs incurred by the Owner that are a direct result of the stop work order. 2.4 Owner's Right to Carry Out Work. 2.4.1 If Contractor defaults or neglects to carry out the Work in accordance with the Contract Documents and fails, within a seven (7) Day period after receipt of written notice from Owner, to commence and continue correction of such default or neglect with diligence and promptness, Owner may, upon providing a second written notice to Contractor of its intent to do so, correct such deficiencies without prejudice to other remedies Owner may have, including its right of termination under Article 14.1. Contractor shall have no right to seek an increase in the Contract Price or the Contract Time or otherwise to recover any amount or make any Claim as a result of any such action by Owner. 2.4.2 Should Owner correct any default, neglect or failure pursuant to Article 2.4.1, an appropriate Change Order shall be issued deducting from payments then or thereafter due to Contractor, the cost of correcting such default, neglect or failure, including Owner's administrative costs and overhead, and compensation for Owner's Design Professional's additional services and expenses made necessary by such default, neglect, or failure. If payments then or thereafter due to Contractor are not sufficient to cover such amounts, Contractor shall pay the difference to Owner. 2.4.3 Notwithstanding Owner's right to carry out the Work or election to do so, maintenance and protection of the Work shall at all times remain Contractor's responsibility. 2.5 Limitations on Owner's Employees. No officer or employee or other agent of Owner is empowered to authorize the Contractor to perform any act contrary to the terms of the Agreement or any Applicable Laws. 2.6 Right of Removal. Owner reserves the right to require Contractor to bar any Subcontractor, employee of Contractor or employee of any Subcontractor from its Site for any reason, in its reasonable discretion. 2.7 Job Meetings. Owner will schedule regular job progress meetings of the Parties' Authorized Representatives or their delegates at the Site or other suitable location on a weekly, bi-weekly,or monthly basis. Owner reserves the right to schedule additional meetings as needed to assure compliance with the Contract Documents and Construction Schedule. ARTICLE 3 Contractor's Rights and Responsibilities 3.1 General 3.1.1 Contractor shall perform the Work in accordance with the Contract Documents, approved Shop Drawings and submittals and Applicable Laws.
