W <br /> WASTE MANAGEMENT <br /> 1.5.41 Owner. The entity identified as Owner in the Agreement. Owner is referred to throughout the <br /> Contract Documents as singular in number. Owner shall designate an Authorized Representative <br /> who shall have the authority to bind Owner with respect to all matters under the Agreement. <br /> Contractor acknowledges that Owner is a subsidiary of Waste Management, Inc. Waste <br /> Management, Inc. and its subsidiaries ("Owner's Affiliates")are intended third party beneficiaries <br /> of the Agreement who shall have the right, but not the obligation, to exercise all rights of Owner <br /> hereunder. "Owner" means Owner and Owner's Authorized Representative. <br /> 1.5.42 Owner's Design Professional. The individual or other legal entity who is lawfully licensed to <br /> practice architecture or engineering, and is under contract to Owner to provide professional <br /> services as defined in the Contract Documents, under the direction of the Owner's Authorized <br /> Representative. The term Owner's Design Professional means the architect or engineer or his or <br /> her Authorized Representative. When a design professional is not employed for administration <br /> of the Agreement, Owner's Authorized Representative or his designee will perform the duties and <br /> responsibilities designated in the Contract Documents for Owner's Design Professional, in <br /> addition to his usual duties. <br /> 1.5.43 Parties. Collectively Owner and Contractor. Owner and Contractor are sometimes referred to <br /> herein individually as a "Party". <br /> 1.5.44 Product. Materials, equipment, or systems incorporated or to be incorporated into the Project. <br /> 1.5.45 Product Data. The illustrations, standard schedules, performance charts, instructions, brochures, <br /> diagrams, and other information furnished by Contractor to illustrate materials or equipment for <br /> some portion of the Work. <br /> 1.5.46 Project. The total construction project of which the Work to be performed under the Contract <br /> Documents may be the whole or part and which may include construction by Owner or by <br /> Separate Contractors. The Project is generally described in the Agreement. <br /> 1.5.47 Punch List. The list of minor items not necessary for Owner's beneficial use of the completed <br /> Work and/or repair work that is identified during the inspection for Substantial Completion of the <br /> Work, which must be completed as a condition to Final Completion. <br /> 1.5.48 Provide. Furnish and install, complete and ready for the intended use. <br /> 1.5.49 Recommendation for Payment. Owner's internal document or electronic approval issued by <br /> Owner's Authorized Representative recommending Owner's payment of either all or a designated <br /> portion of the amount set forth in the Contractor's Application for Payment. <br /> 1.5.50 Record Drawings. Drawings prepared by Contractor that document changes to, additions to, or <br /> deductions from the Drawings and which represent the Work as constructed, as required by <br /> Article 8 of the Agreement. Record Drawings shall be kept in a form acceptable to Owner and, <br /> unless otherwise specified, may be hand annotated, redline type, as-built drawings. <br /> 1.5.51 RFI. A request for information submitted in writing by Contractor to Owner seeking an <br /> interpretation or clarification of the Contract Documents. <br /> 1.5.52 Samples. The physical examples which illustrate materials, equipment, or workmanship, and <br /> establish standards by which the Work will be judged. <br /> 1.5.53 Schedule of Values. A document in such format as prescribed by Owner, furnished by the <br /> Contractor, reflecting the portions of the Contract Price allotted for the various parts of the Work. <br /> Unless otherwise agreed, the Schedule of Values shall be Exhibit A to the Agreement. The total <br /> of the Schedule of Values shall equal the Contract Price, including all labor, material, equipment, <br /> overhead, general conditions costs, and profit. Unit Price items shall be shown on the Schedule <br /> of Values based upon the product of the Unit Price and the total estimated quantity for each such <br /> item. Lump Sum items shall be listed separately in the Schedule of Values and may be further <br /> broken down into tasks associated with the item if Owner and Contractor so agree. <br /> 1.5.54 Separate Contractor. A person, firm, or corporation retained by Owner to perform work on the <br /> Property under a separate agreement with Owner.
