5. TERM: <br /> This Agreement shall commence on the date this Agreement <br /> is signed by an authorized official of the ABA, and end <br /> on This Agreement shall be of no force and <br /> effect until so signed by an authorized ABA official. <br /> 6. COVENANTS: <br /> 6.1 Track Operator shall have the permissive right to <br /> use the registered trade name "American Bicycle Association," and <br /> the registered service mark of the ABA relative to the promotion <br /> and advertising of ABA sanctioned events at the Track. The ABA <br /> expressly reserves the sole and exclusive ownership of the service <br /> mark and trade name of the ABA. The Track Operator agrees not to <br /> use such service mark or trade name, or any combination thereof, <br /> with or without any other word or words, as part of its corporate <br /> or business name, or for any purpose other than advertising and <br /> promotion directly related to a specific ABA sanctioned event at <br /> the Track. Upon the termination of the Agreement, or upon the <br /> request of the ABA, the Track Operator shall immediately and <br /> completely discontinue all use of such service mark and trade <br /> name. <br /> The parties expressly agree that the Track Operator shall • <br /> not have any right, title, or interest in the service mark or <br /> trade name described herein, except the right to use such service <br /> mark or trade name as described above, and nothing contained in <br /> the Agreement shall be construed to grant or assign the Track <br /> Operator any additional right, title, or interest in such service <br /> mark or trade name. <br /> 6.2 For reasons of uniformity between tracks-, the Track <br /> _Operator shall construct, operate, and maintain the Track <br /> substantially in accordance with the Track Operator's Manual as <br /> published by the ABA and amended from time to time. The Track <br /> Operator agrees that the actual design, construction, and <br /> maintenance of the Track is the responsibility of the Track <br /> Operator and not that of the ABA. <br /> 6.3 The Track Operator shall run all ABA sanctioned <br /> races at the Track in accordance with the ABA Official Rules as <br /> published by the ABA and amended from time to time. The Track <br /> Operator shall insure that only persons eligible to race in ABA <br /> sanctioned events under the ABA Official Rules, participate in any <br /> ABA sanctioned event at the Track. <br /> • <br />
