• <br /> TRACK OPERATORS SANCTION AGREEMENT <br /> 1 . DATE: <br /> 2. PARTIES : AMERICAN BICYCLE ASSOCIATION <br /> P. 0. Box 718 <br /> Chandler, Arizona 85224 <br /> ("ABA") <br /> ("Track Operator") <br /> 3. RECITALS: <br /> 3.1 The ABA is an Arizona corporation engaged in the <br /> general business of sanctioning, organizing, and officiating <br /> bicycle motocross events and ranking bicycle motocross riders who <br /> are members of the ABA. <br /> • <br /> 3.2 Track Operator is <br /> and maintains and operates a race track ("Track") designed for use <br /> in bicycle motocross races. <br /> 3.3 Track Operator desires to have bicycle motocross <br /> races run at the Track sanctioned by the ABA, to have competitors <br /> involved in bicycle motocross races at the Track eligible to be <br /> awarded ABA points, and to be permitted to use the ABA trade name <br /> and service mark in connection with the advertising and promotion <br /> of bicycle motocross events held at the Track. The ABA is willing <br /> to grant such rights to the Track Operator in accordance with the <br /> terms and conditions set forth herein.- <br /> 3.4 The parties to this Agreement mutually corrtract and <br /> agree as follows: <br /> 4. CONSIDERATION: <br /> In consideration of those rights granted to the Track <br /> Operator by the ABA, the Track Operator agrees to pay an initial <br /> fee of -0- to the ABA upon the execution of this <br /> Agreement, and, additionally, to pay a fee of current rate to the <br /> ABA for each date on which an ABA sanctioned race is conducted at <br /> the Track. <br /> • <br />
