<br /> 6.4 The ABA agrees to award ABA points to qualifying
<br /> riders in ABA sanctioned events held at the Track under the
<br /> following circumstances :
<br /> a. The Track is being maintained with the ABA
<br /> the terms and conditions of the Agreement .
<br /> b. Such event was held in compliance with the ABA
<br /> official rules ; and
<br /> c. The Track Operator submits the roster of persons
<br /> qualifying for ABA points to the ABA in the manner and with-
<br /> in the time limits set forth in the ABA Official Rules and
<br /> the Track Operator ' s Manual.
<br /> 6.5 The Track Operator, with respect to any event or
<br /> function in connection with which it uses the name of the ABA, or
<br /> in connection with any other event held at the track, agrees, at
<br /> the ABA's option, to defend the ABA against any, all, and every
<br /> demand, claim, assertion of liability, or action arising or
<br /> alleged to have arisen out of any act or omission of the Track
<br /> Operator, the ABA, their agents, servants, or employees, or any
<br /> • other occurrence at or relative to the Track, whether such demand, _
<br /> claim assertion of liability or action be damages, injury to
<br /> person or property, or death of any person, made by any person,
<br /> group or organization, whether employed by either of the parties
<br /> hereto or otherwise, and agrees to assume legal liability for,
<br /> indemnify and hold free and harmless the ABA from any and all
<br /> loss, damages, liability, costs or expenses (including, but not
<br /> limited to, attorneys' fees, reasonable investigative and
<br /> discovery costs, and court costs) and all other sums which the ABA
<br /> may reasonably pay or become obligated to pay on account of any,
<br /> all, and every demand, claim, assertion of liability or action
<br /> arising or alleged to have arisen out of any act or omission of
<br /> the Track Operator,. the ABA, their agents, servants, or
<br /> employees, whether such claim, demand, assertion of liability or
<br /> action be for damages, injury to person or property, or death of
<br /> any person, made by any person, group or organization, whether
<br /> employed by either of the parties hereto otherwise.
<br /> The Track Operator agrees that it shall, at its own
<br /> expense, at all times during the term of this Agreement, maintain
<br /> in force a policy or policies of insurance written by one or more
<br /> responsible insurance carriers selected by the ABA which shall
<br /> insure against liability for injury to and/or death of, and/or
<br /> damage to property of, any person or persons, with aggregate
<br /> policy limits of not less than $1 ,000,000 per person and
<br /> occurrence. Such policies of insurance shall be specifically
