6.2 Term of Office and Election. The election and terms of office of the members of <br />the Board shall be as follows; <br />6.2.1 The first terms of office of the Residential. Directors shall be one year for <br />one of the directors and two years for two of the directors. The first terms of office of the <br />Commercial Directors shall be shall be one year for one of the directors and two years for <br />the other director. Each term of office thereafter shall be two years and shall exp. re upon <br />the election of a successor director at the appropriate annual meeting of the Owners; <br />provided, that a directof shall continue in office until a successor is elected. <br />6.22 Prior to each annual meeting, the Owners of Units in each class shall <br />nominate, from such class, a number of nominees sufficient to fill the expiring terms of <br />directors frorn that Unit class, or such greater number of -nominees as said Owners deem <br />appropriate. Owners entitled to cast votes nnust cast their votes for a sufficient number of <br />nominees from. each Unit class to fill the open director positions, and may vote for <br />Commercial Directors and Residential Directors without regard. to Unit class. A number <br />of nominees -equal to the number of open director positions, and receiving the greatest <br />numbers of votes, shall be. elected, notwithstanding that one or more of them dons not <br />receive a majority of the votes cast; provided, that only nominees from the Residential <br />Unit class may fill the open Residential Director. positions and only nominees from the <br />Commercial Unit class may fill the open Connmercial Director positions. At the first <br />election, unless otherwise unanimously agreed by the elected directors,, the .nominee or <br />nominees receiving the greatest numbers of votes shall fill the longer terxhs. A director <br />appointed- or elected to fill are uncompleted term shall serve until the natural termination <br />of that term., unless removed in accordance with these Bylaws. There i's no cumulative <br />voting for directors. , <br />6.3 No�.n.ations. Nominations for election to the Board at each Dual meetin may <br />be mado by the Board, a nominating committee, appointed by the Board or an Owner.' If <br />appointed, the dominating co7minittee shall consist of at least one Board member, one Owner of a <br />Commercial Unit and one Owner of a Residential Unit, and shall establish fair and reasonable <br />Procedures for the submission of nominations. The nominations shall include a sufficient <br />number of nominees from among the Owners of Commercial Units and the Owners of <br />Residential Units to fill the classes of directors described in Section 6.1; -All noninations shall <br />be consistent with the requirements of this Section 6, and shall be made only with the consent'of <br />the nominee. <br />' t <br />6.4 Powers. The Board shall have all powers necessary for the adn- inistration of the <br />affairs of the Association., and shall exercise for the Association all powers and authority vested <br />in or delegated to the Association (and not expressly prohibited or reserved to the Owners) by <br />law or by the Goveming Documents, The powers of the. Board shall include, without limitation, <br />the power to: . <br />6.x.1 adopt, amend and revolve Rules not inconsistent with the Governing <br />Documents, as follows: (i) regulating the use of the Con mdn Elements and the Limited <br />Common Elements & (ii)- regulating the use of the Units, and the conduct of Owners and <br />Occupants, which may jeopardize the health, safety or welfare of other Owners and <br />Occupants, which involves noise or other disWrbxng activity, or -which may damage the <br />WLS-Word 202367.2 5 <br />
