SECTION 5 <br />ADMINISTRATION <br />The administration and operation of the Association and the Property, including but not <br />limited to the acts required of the Association, shad be governed by the following provisions; <br />5.1. General, The operation and administration of the Association and the 'Property <br />shall be governed by the Goveming Documents, the Rules, and MCIGA. The Association shall <br />be responsible for the operation and management of the property. The Association shall have* all <br />powers described in the Governing Documents, MGIOA and the statute under which the <br />Association is incorporated. All power and authority of the Association shall be vested hi the <br />Board, unless action or approval by the individual Owners, is specifically required by the <br />Governing Documents or MC10A. All references to the Association shall mean the Association <br />acting through the Board unless'specifically stated to the contrary. <br />5.2. 0 erational Purposes. The Association shall operke and. manage the Property for <br />the, purposes of (i) administering and enforcing the covenants, restrictions, easements, charges <br />atid liens set forth in the Governing Documents and the Rules; (ii) rnain.tai ing, repaafing and <br />replacing those portions of the Property and any other property for which it is assigned. <br />responsibility under this Declaration; and (iii) preserving the value and the architectural character <br />of the Prof- ertya <br />5.3. Bl*n&g Effect of Actions. All agreements and determinations made by the <br />Association in.�accordance with the powers and voting rights established.. by the Governing <br />Documents or MC10A. shall �e binding upon all Owners -and Occupants, and their lessees, � <br />invitees, heirs, personal representatives, successors and assigns, and a;ll secured parties as defined <br />inMGZ�.A. <br />. _ <br />5.4. B aws. The Association shall ha_ ve Bylaws, The Bylaws shall govem.the <br />� <br />operation and administration of the Association, and shall be binding on all Owners and <br />Occupants. <br />5.5. Management.' The Board may delegate to a manager or managing agent the <br />rnma g ement duties imposed upon the Association's officers and directors by the Governing <br />Documents and MCI0A... However, such delegation shall not relieve tie officers and directors of � <br />I <br />the ultimate responsibility for the performance of their duties as prescribed by the Governing � <br />.Documents and by law. f <br />and implement. such <br />5.6, �.
