NORTHSTAR CORRIDOR DEVELOPMENT AUTHORITY RESOLUTION 2001 - AUTHORIZING EXECUTION OF AMENDMENT NO. 2 TO GRANT AGREEMENT NO. 78569 WHEREAS, the Northstar Corridor Development Authority entered into Grant Agreement No. 78569 with the Minnesota Department of Transportation (Mn/DOT) to complete studies for the proposed commuter rail project in the Northstar Corridor, to undertake a public information involvement program, to negotiate with Burlington Northern and Santa Fe Railway Company, and other components of the Grant Agreement work plan; and WHEREAS, the Grant Agreement was amended to add preliminary engineering services as work to be performed under the Grant Agreement and to provide a management fee to Mn/DOT, which must be used for management activities and consultant expenses relating to the Northstar project; and WHEREAS, the NCDA has expended funds during the preliminary engineering phase of the project, based on Mn/DOT's assurances that additional grant funds would be forthcoming to cover expenditures relating to the preliminary engineering phase of the project; and WHEREAS, because of NCDA's additional duties relating to preliminary engineering phase of the project and Mn/DOT's retainage of the management fee, additional funds are needed to cover expenditure of project costs to the extent not covered the Grant Agreement or Mn/DOT's management fee; and WHEREAS, the Commissioner of Mn/DOT has indicated his desire to assume project development responsibilities for the Northstar Commuter Rail Project as of June 1,2001 and has indicated his willingness to provide grant funding for all NCDA expenditures relating to grant activities prior to Mn/DOT's assumption of responsibilities (see attachment); and WHEREAS, the parties wish to enter into an Amendment No. 2 to Grant Agreement No. 78569 to provide the additional funding necessary to cover the NCDA's actual costs in developing the commuter rail project up to the date that Mn/DOT assumes said project development responsibilities. NOW, THEREFORE BE IT RESOLVED that the Northstar Corridor Development Authority enter into Amendment No. 2 to Grant Agreement No. 78569 with the Minnesota Department of Transportation. BE IT FURTHER RESOLVED that the Chair or Vice Chair of the Northstar Corridor Development Authority are hereby authorized finalize negotiations and to execute the aforementioned Amendment.
