6. Compliance With Other Agreements <br />Nothing in this agreement is intended, nor will be construed to, relieve NCDA of any <br />obligation k has or will have under any other grant or agreement with Mn/DOT. To <br />the extent this agreement conflicts with any other agreement between the parties, this <br />agreement will control over and supersede the terms of any such agreement, unless <br />precluded by law <br /> <br />7. Mn/DOT Program Costs, Management Fee <br />7.1 Mn/DOT will provide the resources necessary to execute its obligations under this <br /> agreement, the system plan and applicable statutes. In executing its obligations, <br /> Mn/DOT will incur costs including, but not limited to: <br /> A. Salaries and benefits of Mn/DOT employees assigned to manage commuter <br /> rail programs; <br /> B. Necessary miscellaneous program management expenses incurred by <br /> Mn/DOT, including office supplies, printing and travel; <br /> C. Expenses of consukants engaged to carry out program management, <br /> engineering and planning tasks; <br /> D. Expenses of consultants engaged to conduct or assist with railroad <br /> negotiations. <br />7.2 A Mn/DOT Management Fee will be included, as an element of grant applications <br /> and program budgets associated with the Northstar Corridor, to cover all costs <br /> incurred and estimated to be incurred in the execution of Mn/DOT's obligations <br /> under Article 7.1. The following Specified Funds are subject to the Management <br /> Fee, regardless of whether the Specified Funds are received directly by NCDA or <br /> by Mn/DOT, acting as NCDA's agent: <br /> .4,. Federal funds appropriated by an act of Congress; <br /> B. Grant funds received fi-om any agency of the United States Government; <br /> C. State funds appropriated by an act of the State Legislature; <br /> D. C_.¢rant fuiids received fi-om any agency or department of the State of <br /> Minnesota. <br /> <br />7.3 <br /> <br />NCDA and Mn/DOT shall negotiate in good faith the amount of the Management <br />Fee, taking into account the scope of work to be accomplished by each party <br />during the stage of commuter rail development covered by the grant agreement <br />and Mn/DOT's program costs as provided in Article 7. I. <br /> <br />7.4 NCDA and Mn/DOT agree that Mn/DOT will apply for, receive and disburse <br /> state and federal funds. NCDA and Mn/DOT further agree that a Management <br /> Fee will be included as an element of grant applications to the Federal Transit <br /> Administration CFTA). M.n/DOT will, as necessary, seek required matching funds <br /> from state appropriations or other appropriate funding sources. <br />7.5 Unexpended Management Fees will remain with the Northstar Corridor <br /> Commuter Rail Project to the ex'rent this conforms to applicable federal and state <br /> <br /> <br />
