Using Our Energy to Save Yours <br /> <br /> <br />684 Excelsior Blvd., Suite 200 <br />Excelsior, MM 55331 <br />(612) 819-7975 – www.EMSenergy.com <br />Energy Management Agreement <br />11/10/25 <br /> <br />The purpose of this Agreement is to set forth the understanding and agreement between Energy <br />Management Solutions, Inc. (EMS) and City ___________ (CUSTOMER). <br /> <br />PROJECT DESCRIPTION: EMS will help CUSTOMER with the No-Cost Solar on Public Buildings <br />projects. The state will pay 70% of the project (up to $112,000) and the Federal government will pay <br />30% of the project through the IRA Direct Pay Program. EMS will make sure this project is still a no- <br />cost project for CUSTOMER, including EMS’ fees. The buildings to be included are attached on <br />Addendum A. <br /> <br />Energy Services – <br />a. Analyze sites to determine best locations for solar. <br />b. Review energy usage to determine proper size of Solar – Max of 40 kW AC. <br />c. Prepare bid documents for solar vendors and answer any questions. <br />d. Visit site to take pictures and determine where equipment should be installed. <br />e. Analyze bids from Solar vendors. It is important to note that low cost could result in <br />low production of solar due to poor performing solar panels. EMS will make sure <br />CUSTOMER received the best panels available and still at no cost to CUSTOMER. <br />f. Make sure Solar company can start project before 12/31/25 to still qualify for the <br />grants. <br />g. Submit State Grant information. EMS will submit State Grant applications in 1 week <br />from approving this agreement. This is critical since the grants are on a first come first <br />serve basis. If we don’t submit the grants quickly, they will be gone. <br />h. Complete a final inspection once the project is completed. <br />i. Complete Federal Grant Application. <br />j. Help CUSTOMER sell the RECs in the future. <br />k. CUSTOMER agrees to only use Energy Management Solutions (EMS) for this <br />program. <br /> <br />Quality Assurance - All work will be completed or reviewed by a Professional Engineer. <br /> <br />FEES: EMS Fees, of $10,000 per site, are included in the Grant fees so there is no out pocket fees to <br />CUSTOMER. <br /> <br />BILLING AND PAYMENT: EMS shall be paid by once CUSTOMER receives money from grants. <br /> <br />INDEPENDENT CONTRACTOR: EMS shall be and remain an independent contractor-consultant <br />during the term of this Agreement, and EMS, its directors, officers and employees, shall not act for, or <br />bind CUSTOMER in any manner, unless specifically authorized to do so by CUSTOMER. <br /> <br /> <br />CUSTOMER: City ______________ <br />Page 366 of 379
