MYANIt <br />HARDINCOMPANIES.COM <br />A portion of the Listing Brokers Commission may be paid to cooperating Buyers Broker, as <br />appropriate. <br />All Listing Broker Commissions are to be paid by seller at the time of a successful closing, as <br />negotiated with City of Elk River EDA/HRA. <br />Our proposed fee structure requires no upfront cost to the City of Elk River EDA/HRA. Seller <br />is responsible for professional services contracted separately by the City for items such as <br />legal fees, closing fees, title fees, survey's, property management, appraisals, etc. <br />We propose a "Carry over Compensation" for any Listing Broker Commission, for a period of <br />180 days after the expiration of the Exclusive Listing Contract as defined in "Listing Contract"; <br />or in the case of an "early termination" as mutually agreed upon by all parties for properties <br />listed under "Listing Contract." <br />Early Termination: In the event a party wishes to terminate the Listing Contract prior to the <br />expiration date, parties must agree to the termination in writing. The "Carry Over <br />Compensation" provision listed above shall remain in effect for 180 days after the contract is <br />terminated. If the Listing Contract is terminated prior to its expiration date, the City of Elk <br />River EDA/HRA agrees to reimburse Listing Broker for actual expenses associated with <br />marketing of properties such as signage, printed marketing materials, and mailing costs. <br />Scope of work performed under the proposed Listing Contract will comply with all State and <br />Local laws and regulations. <br />V. Conflict of Interest <br />Partners Real Estate MN LLC and its affiliates are not aware of any conflict of interest. <br />Ryan Hardin does volunteer and serve on the City of Elk River's Economic Development <br />Finance Committee and the Beautification Committee. <br />VI. Governmental Standing <br />Partners Real Estate MN LLC and Ryan Hardin are in good standing with the Minnesota <br />Department of Commerce, the Association of Realtors (both state and national) along with the <br />Minnesota Commercial Association of Realtors. In addition, all State and Federal taxes are <br />current. Firm legal name and Tax ID are provided in Supporting Documents. <br />VII. Insurance <br />Certificates of insurance provided are provided in the Supporting Documents. <br />VIII. Disclaimer <br />Information contained in this proposal shall in no way be deemed as a contractual obligation <br />by either the City of Elk River EDA/HRA or Partner Real Estate MN LLC.
