50% of the actual construction costs for the storm sewer Project components as <br />identified on Exhibit A (estimated $90,571.00); and <br />50% of the actual construction costs for the Line Avenue Roundabout after the <br />Federal Aid participation of $1,229,000 is applied as identified on Exhibit A <br />(estimated $231,964.34); <br />100% of the actual construction costs for Tyler Street roundabout costs in <br />excess of the County Cost share of the intersection improvements less an <br />additional $150,000 as identified on Exhibit A (estimated $247,659.16). <br />8% of the actual construction costs for the Construction Engineering for City <br />Project components as identified on Exhibit A (estimated $55,064.36); and <br />2% of the actual construction costs for the storm sewer Project components as <br />identified on Exhibit A (estimated $13,766.09); and <br />The final construction costs for the Project components identified on Exhibit A will be based on <br />the County's actual costs as determined by the County's final payments to the contractor for the <br />Project. <br />3.8 Payments to Contractor. For purposes of paying the contractor during the Project, the <br />County will process all payment requests from the contractor and will approve or deny the <br />requests as appropriate, pursuant to the terms of the contract. <br />3.9 Ownership and Maintenance. Following completion of construction, the County will <br />continue to own the roadway and drainage system improvements located within the County right- <br />of-way, and will be solely responsible for the ongoing maintenance of those improvements. The <br />City will continue to own the sidewalk and multi -use trails and will be solely responsible for the <br />ongoing maintenance of those improvements. <br />3.10 Payments to the County. After payment is made by the County for Project components for which <br />the City is responsible for costs pursuant to this Agreement, the County will submit invoices to <br />the City for reimbursement. Payment shall be made to the County within 35 days of when an <br />invoice is received by the City. <br />4. General Provisions. <br />4.1 Entire Agreement, Amendments. This Agreement constitutes the entire agreement and <br />understanding of the parties with respect to the subject matter hereof and supersedes all prior and <br />contemporaneous agreements, documents and proposals, oral or written, between the parties with <br />respect thereto. Any amendment or modification to this Agreement shall not be valid unless such <br />amendment or modification (1) is in writing and signed by authorized representatives of both <br />parties and (ii) references this Agreement. The terms and conditions of the exhibits are integral <br />parts of this Agreement and are fully incorporated herein by this reference. <br />4.2 Cooperation. The parties agree to cooperate in the use of resources, including available <br />right-of-way to complete the pro] ect as a whole, to the extent feasible and to the extent permitted <br />by law.
