W <br /> WASTE MANAGEMENT <br /> .3 cost to be determined in a manner agreed upon by the Parties plus a mutually acceptable <br /> fixed or percentage fee; or <br /> .4 as specified in Article 7.4.4. <br /> 7.4.2 If Contractor does not respond promptly, or disagrees with Owner's proposed method for <br /> adjustment in the Contract Price, the method and the adjustment shall be determined by the <br /> Owner's Authorized Representative on the basis of Unit Prices to the extent Changes involve <br /> items subject to Unit Prices, or on the basis of reasonable expenditures and savings of those <br /> performing the Changes, including, in case of an increase in the Contract Price, agreed <br /> allowances for actual labor burden and for overhead and profit in the maximum percentages <br /> stated in Supplementary Conditions. If no such percentages are stated, the maximum overhead <br /> rate shall be 5% and the maximum profit rate shall be 10%. The decision of the Owner's <br /> Authorized Representative shall be final and determinative unless and until the Contractor <br /> invokes the procedures of Article 15. <br /> 7.4.3 Pending final agreement on a Change Order or in the event Contractor disagrees with the proposed <br /> method for adjustment of the Contract Price contained in any Construction Change Directive, <br /> Contractor shall keep and present, in such form as the Owner's Authorized Representative may <br /> prescribe, an itemized accounting, together with appropriate supporting data, of all costs incurred <br /> by Contractor in the performance of any Change where Contractor intends to seek an adjustment <br /> of the Contract Price as a result of the Change. Failure to submit such itemized accounting and <br /> supporting data within twenty-one (21)Days of a request for such data by the Owner's Authorized <br /> Representative shall constitute waiver of Contractor's right to seek an adjustment to the Contract <br /> Price with respect to the Change involved. <br /> 7.4.4 Unless otherwise provided in the Contract Documents, costs for the purposes of this Article shall <br /> be limited to the actual, out-of-pocket cost incurred by Contractor for the following: <br /> .1 labor, including social security, unemployment insurance, customary and usual fringe <br /> benefits required by agreement or custom, and workers' compensation insurance; <br /> .2 materials, supplies, and equipment, including cost of transportation, whether incorporated <br /> or consumed; <br /> .3 rental of machinery and equipment,exclusive of hand tools,whether rented from Contractor <br /> or others, with prior approval of the Owner's Authorized Representative; <br /> .4 premiums for all Bonds and insurance and permit fees related to the Work; <br /> .5 additional supervision and field office personnel directly attributable to the Change; and <br /> .6 agreed allowances for overhead and profit not exceeding the maximum percentages stated <br /> in Supplementary Conditions or, if none, the percentages stated in Article 7.4.2. <br /> 7.4.5 The amount of credit to be allowed by Contractor to Owner for a deletion or other Change that <br /> results in a net decrease in the Contract Price,shall be determined in accordance with this Article. <br /> When both additions and credits covering related Work or substitutions are involved in a Change, <br /> the allowance for overhead and profit shall be figured on the basis of net increase or decrease, if <br /> any, with respect to that Change. <br /> 7.4.6 Under no circumstances shall Contractor be entitled to indirect field or home office overhead in <br /> connection with any Change or delay Claim. <br /> 7.5 Minor Changes in the Work. The Owner's Authorized Representative may order minor changes in the <br /> Work not involving an adjustment in the Contract Price or the Contract Time and not inconsistent with the <br /> intent of the Contract Documents. Such changes shall be effected by written order and shall be binding <br /> on Owner and Contractor. Contractor shall carry out such written orders promptly. <br /> 25 Jun-17 <br /> Ver.2.0 <br />
