J <br /> WASTE MANAGEMENT <br /> ARTICLE 1 <br /> General Provisions <br /> 1.1 Contract Documents. The Contract Documents enumerated in Article 8 of the Standard Construction <br /> Agreement collectively form the Agreement for the Work. The Contract Documents represent the entire <br /> and integrated agreement between Owner and Contractor and supersede prior negotiations, <br /> representations or agreements, either written or oral. <br /> 1.2 Amendments. The Contract Documents may be amended or modified only by an Amendment, as such <br /> term is defined in Article 1.5. <br /> 1.3 Beneficiaries. The Contract Documents shall not be construed to create a contractual relationship of <br /> any kind between any persons or entities other than between Owner and Contractor. Other than Owner's <br /> Affiliates, there are no intended third party beneficiaries of the Agreement. <br /> 1.4 Independent Contractor. Contractor shall act as an independent contractor pursuant to the Agreement <br /> and nothing herein shall create an agency relationship between Owner and Contractor. Contractor <br /> understands that it has no authority to make or imply any commitments that are binding upon Owner. <br /> None of Contractor's employees or agents shall be considered or in any way represent themselves as <br /> being employees of Owner or be entitled to any of the benefits supplied by Owner to Owner's employees. <br /> 1.5 Definitions. Whenever the following terms, phrases, and acronyms are used in the Contract Documents, <br /> the intent and meaning shall be as herein defined. Working titles having a masculine gender, such as <br /> "workman" and the pronoun "he", are utilized for the sake of brevity and are intended to refer to persons <br /> of either gender. <br /> 1.5.1 Agreement. The written and signed Standard Construction Agreement between Owner and <br /> Contractor concerning the Work to be performed, together with all other Contract Documents <br /> enumerated therein and made a part thereof. <br /> 1.5.2 Amendment. Any written supplementation of the Agreement, issued by the Owner's Authorized <br /> Representative on or after the Effective Date of the Agreement. An Amendment may be a Change <br /> Order, Construction Change Directive, written order for a minor change in the Work, or other <br /> written document issued for the purpose of changing the scope, ways and means, schedule, <br /> pricing, or any other provisions set forth in the Contract Documents. <br /> 1.5.3 Applicable Laws. Any and all applicable statutes, laws, treaties, rules, codes, ordinances, <br /> regulations, permits, interpretations, or orders of any Federal, State, or local governmental <br /> authority having jurisdiction over the Project, the Contract Documents, and the Parties all as in <br /> effect as of the date of the Agreement and as amended during the term of the Agreement <br /> including, without limitation, all applicable zoning ordinances and building codes, accessibility <br /> laws and codes, United States Occupational Safety and Health Administration requirements, the <br /> Americans with Disabilities Act requirements, requirements under Title VII of the Civil Rights Act <br /> of 1964, as amended, the Age Discrimination in Employment Act requirements, any <br /> Environmental Laws, applicable storm water, street, utility and other related infrastructure <br /> requirements, and requirements related to the use, removal, storage,transportation, disposal and <br /> remediation of Hazardous Materials. <br /> 1.5.4 Application for Payment. Contractor's monthly written submission to Owner for payment for the <br /> Work, including all required supporting documentation, as described in Article 9.4 of these <br /> General Conditions. <br /> 1.5.5 Authorized Representative. The persons designated in writing by each of the Parties to the <br /> Agreement to act on their behalf with respect to all matters arising from or related to the <br /> Agreement or Work. The Authorized Representatives may delegate all or part of their authority <br /> for specific services or within specific limits of authority to other individuals as set forth in writing <br /> from the Authorized Representative of one Party to the Authorized Representative of the other. <br /> The Authorized Representative of any Party shall be a single individual who may be an employee <br /> or an independent contractor of such Party. <br /> 1 Jun-17 <br /> Ver.2.0 <br />
