<br />. <br /> <br />. <br /> <br />. <br /> <br />at the Closing to satisfaction of such Objection and the amount so applied <br />shall reduce the amount of cash payable to Sellers at the Closing., If the <br />Objections are not cured within such sixty (60) day period, Buyer will have <br />the option to (i) terminate this Agreement and receive a refund of the earnest <br />money and the interest accrued and unpaid on the earnest money, if any, or <br />(ii) waive the Objections and proceed to close. <br /> <br />11. Closing. The closing of. the purchase and sale contemplated bv <br />this Agreement shall occur on or before April 1, 1997. <br /> <br />12. Closing Documents. At the ClosinR, Sellers shall execute and/or <br />deliver to Buyer the following (collectively the "Closing Documents"): <br /> <br />(a) Warranty Deed. A Warranty Deed in recordable form and reasonably <br />satisfactory to Buyer; <br /> <br />(b) Promissory Note. A Promissory Note executed by Buyer due and <br />payable to the order of Seller pursuant to the terms and conditions <br />set forth in this Agreement; <br /> <br />(c) <br /> <br />MortRage. A mortgage in recordable form, <br />favor .of Seller, reasonably including the <br />set forth in this Agreement; <br /> <br />executed by Buyer in <br />terms and conditions <br /> <br />(d) <br /> <br />Sellers' Affidavit. A standard form affidavit bv Sellers indicating <br />that on the date of Closing there are no outstanding unsatisfied <br />judRments, tax liens or bankruptcies against or involving Sellers <br />or the Property; that there has been no skill, labor or material <br />furnished to the Property (other than at the request of Buyer) <br />for which payment has not been made or for which mechanic's liens <br />could be filed; and that there are no .other unrecorded interests <br />in the Property; <br /> <br />(e) Storage Tanks. If required an affidavit with respect to storage <br />tanks pursuant to Minnesota Statutes Section 116.48; <br /> <br />(f) Well Disclosure. If there is a well located on the Property, a <br />well-disclosure statement in form and substance true to form for <br />recordinR; and <br /> <br />(R) Certification. A certification that the representations and/or <br />warranties made by the Sellers are the same as were in existence <br />on the date of this Purchase Agreement. <br /> <br />(h) Other Documents. All other documents reasonably determined by <br />either party and the title insurance company to be necessary or <br />desirable in connection herewith and the consummation of the <br />transactions contemplated herein. <br /> <br />13.
