<br />(1) <br /> <br /> <br />. <br /> <br />(m) Relocation of the Manufactured Home Park. Sellers represent that <br />they will within ten days from the date of this Agreement, properly <br />serve the statutorily mandated notice on all manufactured home <br />park residents, in form consistent with an in compliance with <br />Minnesota Statutes, Rules' and Regulations, or otherwise complete <br />relocation of each and every manufactured home park residents within <br />the statutorily mandated period in compliance with all applicable <br />statutes,rules and regulations. <br /> <br />Sellers will indemnify and hold Buyer, its successors and assigns, <br />harmless from and against any expenses or damages, including reasonable <br />attorneys' fees, that Buyer incurs as a result of the breach of any of the <br />above representations by Sellers. SpeCifically, Sellers shall. indemnify, <br />defend and hold Buyer harmless from claims made bv residents of the mobile <br />home park. <br /> <br />9. Representations and Warranties of Buyer. Buyer represents and <br />warrants as follows: <br /> <br />(a) Development Process. Buyer shall undertake to obtain governmental <br />approvals for the development of the Property, or to subdivide <br />the Property and prepare portions thereof for sale to third parties. <br /> <br />. <br /> <br />(b) <br /> <br />Authori ty . The individual signing this Agreement on behalf of <br />Buver hereby covenants and represents to Sellers that he is fully <br />authorized and empowered to sign this Agreement on behalf of Buyer <br />and that this Agreement will be fully binding on Buyer. <br /> <br />(c) Survival of Representations and Warranties. The representations <br />and warranties of Buyer shall be true and correct as of the date <br />of closing and shall survive the closing. <br /> <br />10. Title Examination. The Buyer or its agents have in its possession <br />the abstract of title to the lands and premises described in Exhibit A. <br />Further title insurance considerations shall be the responsibility and expense <br />of the Buyer. <br /> <br />Within fifteen (15) business days after recelV1ng the Title Commitment, <br />buyer will make written objections ("Objections") to the form and/or contents <br />of the title evidence. Buver's failure to make Objections within such time <br />period will constitute waiver of the Obj ections. Sellers will have sixty <br />(60) days after receipt of the Objections to cure the Objections, during which <br />period the Closing will be postponed as necessary. Sellers shall use their <br />best efforts to correct any Objections. To the extent any liens or <br />encumbrances for liquidated amounts can be satisfied by the payment of money, <br />Buyer shall have the right to apply a portion of the cash payable to Sellers <br /> <br />. <br /> <br />-9- <br />
