PROFESSIONAL SERVICES AGREEMENT-EXHIBIT B1 <br /> Task 5 (Optional): Facilitate Board Management Retreat($2500) <br /> CU will design and facilitate a retreat and work session (approximately four contact hours)with <br /> the Board members and executive managers to discuss governance principles and practices <br /> and to establish outcomes and process parameters for ERMU's new governance model. <br /> Task 6: Prepare Draft and Final Foundational Governance Documents <br /> Using information from the preceding tasks, CU will prepare the following draft and final <br /> draft documents: <br /> Policy guidance documents: <br /> a. ERMU Guidin_q Principles for Governance and Policy Development <br /> b. ERMU Governance Policy Manual Table of Contents(specific policy titles <br /> by category) <br /> c. ERMU Model Policy Format(generic format for preparing written policies) <br /> d. ERMU Policies <br /> Foundational Board Policies: <br /> a. The Board's relationship with the City of Elk River. <br /> b. The Board's relationship with Management (e.g. Delegation of Authority to <br /> the General Manager). <br /> c. The Board's own governance structure and process (e.g. Agenda Planning; <br /> Board Committees). <br /> d.
