Section 2. General Requirements <br />2.1. Rights of the HRA. In the event of any conflict between the Bid <br />Specifications/Instructions and this Contract, this Contract shall control. <br />2.2. Interest of the HRA. The Contractor agrees that no member of the governing <br />body, officer, employee, or agent of the HRA shall have any interest, financial or <br />otherwise, direct or indirect, in the Contract. <br />2.3. Equal Opportunity Statement. The Contractor agrees to comply with the <br />provisions of all applicable federal, state, and City of Elk River statutes, ordinances, and <br />regulations pertaining to civil rights and nondiscrimination including without limitation <br />Minnesota Statutes Section 181.59 as amended, incorporated herein by reference. <br />2.4. Transfer of Interest. The Contractor shall not assign any interest in the Contract, <br />and shall not transfer any interest in the same either by assignment or novation, without <br />the prior written approval of the HRA, provided, however, that claims for money due or <br />to income due to the Contractor may be assigned to a bank, trust company, or other <br />financial institution, or to a trustee in bankruptcy without such approval. Notice of any <br />such assignment or transfer shall be furnished to the HRA. Notwithstanding the <br />foregoing, the Contractor shall be entitled to use subcontractors to perform the Work. <br />2.5. Independent Contractor. Nothing contained in this Contract is intended to, or <br />shall be construed in any manner, as creating or establishing the relationship of <br />employer/employee between the parties. The Contractor shall at all times remain an <br />independent contractor with respect to the services to be performed under this Contract. <br />The HRA shall be exempt from payment of all unemployment compensation, FICA, <br />retirement, life insurance, medical insurance and workers' compensation insurance as the <br />Contractor is an independent contractor. <br />2.6. Retention of Records. The Contractor shall retain all records pertinent to <br />expenditures incurred under this Contract for a period of three years after the resolution <br />of all audit findings. <br />2.7. Disclosure. The Contractor agrees to comply with the Minnesota Government <br />Data Practices Act, Minnesota Statutes Chapter 13, and all other applicable state and <br />federal laws relating to data privacy or confidentiality, as those laws may be amended. <br />The Contractor shall immediately report to the HRA any requests from third parties for <br />information relating to this Contract. All data created, collected, received, stored, used, <br />maintained, or disseminated by the Contractor in performing its obligations is subject to <br />the requirements of the Minnesota Government Data Practices Act, and the Contractor <br />must comply with those requirements as if it were a government entity. The HRA agrees <br />to promptly respond to inquiries from the Contractor concerning data requests. The <br />Contractor agrees to hold the City and the HRA, their officials, employees and agents <br />harmless from any claims resulting from the Contractor's failure to .disclose data <br />2 <br />
