CITY ADMINISTRATOR <br />EMPLOYMENT AGREEMENT <br />THIS CITY ADMINISTRATOR EMPLOYMENT AGREEMENT ("Agreement"), is <br />entered into by and between the CITY OF ELK RIVER, a Minnesota municipal <br />corporation and statutory Plan A city under Minnesota law ("City") and CALVIN <br />PORTNER ("Administrator"). <br />This Agreement shall be effective, and Administrator's employment hereunder shall <br />begin, on October 17, 2011, (the "Effective Date") provided that this Agreement has been <br />accepted and executed by both parties before that date. <br />RECITALS <br />WHEREAS, City wishes to retain the Administrator to perform the duties and <br />responsibilities of City Administrator as such duties and responsibilities have been and <br />may be determined by the City Council from time to time; and <br />WHEREAS, the Administrator has indicated that he is qualified and willing to accept <br />and perform the duties and responsibilities of City Administrator subject to the terms of <br />this Agreement; <br />NOW, THEREFORE, for good and valuable mutual consideration, and intending to be <br />legally bound, City and Administrator agree as follows: <br />AGREEMENT <br />1. EMPLOYMENT. Upon the terms and conditions set forth in this Agreement, <br />City hereby employs Administrator on an at-will basis for an indefinite term, and <br />Administrator accepts such employment. In such employment, Administrator shall serve <br />in the capacity of City Administrator, reporting to the City Council. Neither the <br />Administrator nor the City is bound to continue the employment relationship if either <br />chooses, at its or his will, to end the relationship. Accordingly, this Agreement and <br />Administrator's employment by City may be terminated at any time pursuant to Section 6 <br />of this Agreement. Neither party shall be entitled to any type of due process or hearing <br />for the purpose of appealing, disputing or challenging the determination of the other party <br />to terminate the employment relationship or this Agreement. <br />2. DUTIES AND PERFORMANCE EVALUATION. While Administrator is <br />employed under this Agreement, excluding any periods of vacation, sick, disability or <br />other leave to which Administrator is entitled, Administrator agrees to devote his full <br />time and best efforts to the business and affairs of the City and to fully and faithfully <br />discharge the duties and responsibilities assigned to Administrator under this Agreement. <br />The Administrator shall provide oversight and management of City operations and <br />support to the Mayor and City Council as described in the City of Elk River City <br />
