CITY ADMINISTRATOR EMPLOYMENT AGREEMENT THIS CITY ADMINISTRATOR EMPLOYMENT AGREEMENT ("Agreement"), is entered into by and between the CITY OF ELK RIVER, a Minnesota municipal corporation and statutory Plan A city under Minnesota law ("City") and CALVIN PORTNER ("Administrator"). This Agreement shall be effective, and Administrator's employment hereunder shall begin, on October 17, 2011, (the "Effective Date") provided that this Agreement has been accepted and executed by both parties before that date. RECITALS WHEREAS, City wishes to retain the Administrator to perform the duties and responsibilities of City Administrator as such duties and responsibilities have been and may be determined by the City Council from time to time; and WHEREAS, the Administrator has indicated that he is qualified and willing to accept and perform the duties and responsibilities of City Administrator subject to the terms of this Agreement; NOW, THEREFORE, for good and valuable mutual consideration, and intending to be legally bound, City and Administrator agree as follows: AGREEMENT 1. EMPLOYMENT. Upon the terms and conditions set forth in this Agreement, City hereby employs Administrator on an at-will basis for an indefinite term, and Administrator accepts such employment. In such employment, Administrator shall serve in the capacity of City Administrator, reporting to the City Council. Neither the Administrator nor the City is bound to continue the employment relationship if either chooses, at its or his will, to end the relationship. Accordingly, this Agreement and Administrator's employment by City may be terminated at any time pursuant to Section 6 of this Agreement. Neither party shall be entitled to any type of due process or hearing for the purpose of appealing, disputing or challenging the determination of the other party to terminate the employment relationship or this Agreement. 2. DUTIES AND PERFORMANCE EVALUATION. While Administrator is employed under this Agreement, excluding any periods of vacation, sick, disability or other leave to which Administrator is entitled, Administrator agrees to devote his full time and best efforts to the business and affairs of the City and to fully and faithfully discharge the duties and responsibilities assigned to Administrator under this Agreement. The Administrator shall provide oversight and management of City operations and support to the Mayor and City Council as described in the City of Elk River City
