13. Miscellaneous. <br />13.1. Inte rag tion. This Agreement is entered into in accordance with the <br />Employment Agreement and state law and this Agreement incorporates the <br />Employment Agreement by reference and as such embodies the entire agreement <br />and understanding among the Parties relative to the separation of Ms. Johnson <br />from employment with the City and relative to Ms. Johnson's release of claims <br />arising out of her employment with the City. Accordingly, this Agreement <br />supersedes any and all prior agreements and understandings relating to such <br />subject matter. <br />13.2. Applicable Law. This Agreement and the rights of the Parties shall <br />be governed by, and construed and enforced in accordance with the laws of the <br />state of Minnesota. <br />13.3. Venue. Every dispute, difference, or question that may at any time <br />arise between the Parties or any person claiming under them, touching on or <br />arising out of or in respect of this Agreement or its subject matter, shall be <br />resolved through the courts of Sherburne County, Minnesota whether or not such <br />venue is or subsequently becomes inconvenient. <br />13.4. Counterparts. This Agreement may be executed in several <br />counterparts and as so executed shall constitute one agreement binding on the <br />Parties hereto. <br />13.5. Definitions. Capitalized terms used in this Agreement shall have <br />their defined meaning throughout the Agreement. <br />13.6. Binding_Effect. Except as herein or otherwise provided to the <br />contrary, this Agreement shall be binding upon and inure to the benefit of the <br />Parties and their respective heirs, successors, assigns and personal representatives. <br />13.7. Severability. The invalidity or partial invalidity of any portion of <br />this Agreement shall not invalidate the remainder thereof, and said remainder <br />shall remain in full force and effect. Moreover, if one or more of the provisions <br />contained in this Agreement shall, for any reason, be held to be excessively broad <br />as to scope, activity, subject or otherwise, so as to be unenforceable at law, such <br />provision or provisions shall be construed by the appropriate judicial body or <br />arbitrator by limiting or reducing it or them, so as to be enforceable to the <br />maximum extent compatible with then applicable law. <br />13.8. Assi ent. Ms. Johnson may not assign any rights or obligations <br />under this Agreement without prior written consent of the City. The City may <br />assign its rights or obligations hereunder without prior written consent of Ms. <br />Johnson. <br />6 <br />
