Transmission Owner Services and Asset Assignment Agreement <br />of the then-current form(s) of Exhibit A to this Agreement (or any portion of <br />Exhibit A) or such other written documentation as CMMPA may require to <br />demonstrate to the satisfaction of the MISO the rights that have been assigned by <br />the Participant to CMMPA. pursuant to this Agreement with respect to CMMPA- <br />Owned Transmission Projects. <br />(g) Effect of Removal of CMMPA-Owned Transmission Project. <br />Any removal of a CMMPA-Owned Transmission Project from Exhibit A in <br />accordance with this Section 205 shall terminate all obligations of CMMPA under <br />this Agreement with respect to such CMMPA-Owned Transmission Projects. <br />Section 206. Termination of Agreement with Respect to CMMPA-Owned <br />Transmission Projects. <br />(a) CMMPA and the Participant may terminate this Agreement with respect to those <br />provisions applicable solely to CMMPA-Owned Transmission Projects upon <br />execution by CMMPA and the Participant of a written agreement to terminate. <br />(b) In addition, CMMPA may terminate this Agreement with respect to those <br />provisions applicable solely to CMMPA-Owned Transmission Projects only: <br />(i) upon the effective date of CMMPA's withdrawal from the MISO, in <br />accordance with Section 205(c), of all CMMPA-Owned Transmission <br />Projects in which the Participant has capacity rights or other participation <br />interests; <br />(ii) upon any discontinuance of operations or other termination of the MISO; <br />(iii) as to any specific CMMPA-Owned Transmission Project, upon the <br />effective date of a sale or other transfer of such CMMPA-Owned <br />Transmission Project, provided that such sale or transfer complies with all <br />applicable provisions of the corresponding CMMPA-Participant <br />Transmission Project Agreement, unless such sale or other transfer is <br />made expressly subject to the continued application of this Agreement; or <br />(iv) as to any specific CMMPA-Owned Transmission Project, upon the <br />termination of such CMMPA-Owned Transmission Project in accordance <br />with the corresponding CMMPA-Participant Transmission Project <br />Agreement. <br />(c) Any termination of this Agreement with respect to a CMMPA-Owned <br />Transmission Project shall be consistent with CMMPA's rights, duties and <br />obligations as a Transmission Owner under the MISO-Related Documents and the <br />Funds Trust Agreement and subject to CMMPA's satisfaction of all such duties <br />and obligations, and shall also be subject to the Participant's payment and <br />satisfaction of all costs, obligations, and liabilities incurred by CMMPA in <br />connection with CMMPA's provision of Transmission Owner Services with <br />respect to those CMMPA-Owned Transmission Projects to which such <br />termination applies. <br />14 <br />
