Transmission Owner Services and Asset Assignment Agreement <br />shall consult with the coordinating committee(s) for the applicable <br />CMMPA-Owned Transmission Projects and the Services Administration <br />Committee concerning, among other things, (A) the necessity or <br />advisability of such withdrawal, (B) potential alternatives for continued <br />tariff recovery of costs associated with the affected CMMPA-Owned <br />Transmission Project(s), and (C) any relevant recommendations by the <br />coordinating committee(s) or the Services Administration Committee. <br />(iii) If, following the consultation process described in paragraph (ii) of this <br />Section 205(c), CMMPA determines, in its sole discretion, to proceed with <br />withdrawal of one or more CMMPA-Owned Transmission Projects from <br />the operational control of the MISO, CMMPA shall: <br />(A) consider any coordinating committee and Services Administration <br />Committee recommendations regarding tariff recovery alternatives <br />in determining the circumstances under which CMMPA would be <br />willing to perform services similar to those provided for in this <br />Agreement under a replacement agreement with the Participant <br />related to the withdrawn CMMPA-Owned Transmission Project(s); <br />(B) comply with all applicable requirements of the corresponding <br />CMMPA-Participant Transmission Project Agreements, the MISO- <br />Related Documents, Applicable Law, and applicable obligations, if <br />any, under any Bond Resolutions for Bonds then outstanding with <br />respect to such CMMPA-Owned Transmission Project(s); <br />(C) give the Participant not less than 90 days' prior written notice of <br />the date on which withdrawal from the MISO shall become <br />effective; and <br />(D) make good faith efforts to negotiate a mutually acceptable <br />replacement agreement addressing CMMPA's provision of <br />services similar to those provided under in this Agreement if <br />requested by the Participant and if the CMMPA Board of Directors <br />determines that CMMPA is willing to provide such services. <br />(d) Regulatory or MISO Approval of Modifications of Exhibit A. <br />In connection with any modification of Exhibit A pursuant to this Section 205, <br />CMMPA shall seek any necessary regulatory or MISO approvals, including any <br />approvals required pursuant to the MISO-Related Documents. <br />(e) Participant Responsibility for Share of Resulting Costs. <br />The Participant shall be responsible for its share of all costs related to CMMPA's <br />actions consistent with the provisions of this Section 205, including without <br />limitation the negotiation of any replacement agreements. <br />(f) Evidence of Rights Satisfactory to the MISO. <br />At any time and from time to time during the term of this Agreement, the <br />Participant shall, upon CMMPA's request, promptly furnish to CMMPA a copy <br />13 <br />
