15.4 Additional Insurance Conditions: <br />(1) Grantee's policy(ies) or Subcontractor's shall be primary insurance to any other valid and collectible <br />insurance available to the State of Minnesota with respect to any claim arising out of Grantee's <br />performance under this Agreement; <br />(2) Grantee's or Subcontractor's policy(ies) and Certificate(s) of Insurance shall contain a provision that <br />coverage afforded under the policy(ies) shall not be cancelled without at least thirty (30) days <br />advanced written notice to the State of Minnesota; <br />(3) Grantee or Subcontractor is responsible for payment of Grant Contract-related insurance premiums <br />and deductibles; <br />(4) If Grantee or Subcontractor is self-insured, a Certificate of Self-Insurance must be attached; <br />(5) Include legal defense fees in addition to its liability policy limits, with the exception of Professional <br />Liability Insurance requirements, above; and <br />(6) Obtain insurance policies from an insurance company having an "AM BEST" rating of A- (minus); <br />Financial Size Category (FSC) VII or better and must be authorized to do business in the State of <br />Minnesota or obtain comparable coverage under a program of self-insurance. <br />(7) An Umbrella or Excess Liability insurance policy may be used to supplement the Contractor's policy <br />limits to satisfy the full policy limits required by the Contract. <br />15.5 The State reserves the right to immediately terminate the Grant Contract if the Grantee or Subcontractor is not <br />in compliance with the insurance requirements and retains all rights to pursue any legal remedies against the <br />Grantee. All insurance policies must be open to inspection by the State, and copies of policies must be <br />submitted to the State's Authorized Representative upon written request. <br />16. Change Orders <br />If the State's Authorized Representative or the Grantee's Authorized Representative identifies a minor change <br />needed in the Work Plan and budget, either party may initiate a Change Order using the Change Order Form <br />provided by the MPCA. Minor changes are defined as reallocating less than 10% or $50,000, whichever is less, of <br />the overall contract, cumulatively, whether between or within Tasks or Objectives. Change Orders may not delay or <br />jeopardize the success of the Project, alter the overall scope of the Project, increase or decrease the overall amount of <br />the Grant Contract, or cause an extension of the term of this Grant Contract. Major changes or reallocations (over <br />10% or $50,000) require an Amendment rather than a Change Order. <br />The State's Authorized Representative and the Grantee's Authorized Representative shall sign the Change Order <br />Form in advance of doing the work, which will then become an integraLand enforceable part of the Contract. <br />17. Use of Subcontractors and Prevailing Wage <br />If the Project includes erection, construction, remodeling, or repairing of a public building or other public work <br />financed in whole or part by State funds, it is subject to Prevailing Wage laws in accordance with Minnesota Statutes <br />177.30-.32, 177.41-.44, 16.B, and 16C. The Grantee and/or Subcontractor is/are solely responsible for payment of <br />any and all required Prevailing Wage rates. Prevailing Wages requirements are contained in ATTACHMENT C, <br />which is attached and incorporated into this Grant Contract. The Prevailing Wages for Sherburne County, listed in <br />the original RFP, apply to this Grant and are included in ATTAC>=IMENT C. <br />18. Web Posting Requirement <br />The Grantee's expenditure information and measurable outcomes from implementation of this Grant will be posted <br />on State's website. The information required from the Grantee to satisfy this requirement will not exceed the <br />reporting necessary to document progress and successful completion of this Grant. In addition, the Grantee must <br />provide, at a minimum, copies of those parts of the Facilities Planning and the Plans and Specifications documents <br />that are funded by the Grant and approved by the State; so that in keeping with Minnesota Statutes § 116.195 subpart <br />2, the State may make these documents available on its website. <br />Grant (Rev. 11/08) <br />CR4377 <br />10 <br />
