V ii lMA I <br />b. Contractor and its employees will not release Requested Data or disclose the contents of <br />Requested Data to any person, including Contractor employees, except as expressly authorized by this <br />Agreement. <br />C. Contractor may release Requested Data to those Contractor employees whose job responsibilities <br />require them to have access to the data in performance of the contract. Contractor will inform its employees <br />that the data is subject to the Act and this Agreement. <br />d. Contractor may not release Requested Data to other persons except at the written direction of the <br />City. Contractor will refer to the City any and all requests for release or inspection of Requested Data that <br />Contractor may receive from persons not authorized by this Agreement to have access to Requested Data.. <br />e. When Contractor no longer requires the Requested Data for the performance of the contract, <br />Contractor will return to the City the Requested Data and all duplicates or copies of the Requested Data. If the <br />Requested Data was electronically transmitted to Contractor, Contractor will destroy any hard copies made of <br />the Requested Data, transfer the electronically transmitted data to a diskette which shall be returned to the City, <br />and erase or delete the Requested Data from Contractor's diskettes or computer systems. <br />3. Indemnification. Contractor agrees to defend and indemnify City from any claim, liability, <br />damage or loss asserted against City as a result of Contractor's failure to comply with the requirements of this <br />Agreement.. <br />4. This Agreement is intended to amend the contract referenced above.
