STANDSTILL AGREEMENT <br /> TO PURSUE INFORMAL FRANCHISE RENEWAL <br /> THIS AGREEMENT is made as of the day of February, 2018,by and between the <br /> Sherburne/Wright Counties Cable Communications Commission("Commission"), a municipal <br /> joint powers entity; and CC VIII Operating, LLC, 1/k/a Charter Communications ("Charter"), <br /> collectively the "Parties." <br /> RECITALS <br /> WHEREAS,the cities of Big Lake,Buffalo,Cokato,Dassel,Delano,Elk River,Maple Lake, <br /> Monticello, Rockford and Watertown, Minnesota(together,the "Cities") have entered a joint and <br /> cooperative agreement under Minnesota Statutes, Section 471.59 forming the Commission, and; <br /> WHEREAS,the Cities have enacted substantively identical cable regulatory ordinances which <br /> provide for the issuance of cable franchises and, in 2005, the Cities each adopted substantively <br /> identical franchises which were accepted by Charter(together, "Franchise"), and; <br /> WHEREAS,by letters to the Cities dated on or about May 2, 2017, Charter timely requested <br /> renewal of the Franchise, and; <br /> WHEREAS, the Parties wish to pursue renewal on an informal.basis as provided for by the <br /> Cable Communications Act of 1984 as amended, 47 U.S.C. §521 et. seq. ("Cable Act"), and; <br /> WHEREAS,the joint powers agreement establishing the Commission sets forth the power and <br /> duties delegated to the Commission including the power to negotiate a renewal Franchise to <br /> recommend to the Cities for adoption, and; <br /> WHEREAS,the Commission and Charter now wish to confirm their mutual desire to complete <br /> franchise renewal via informal negotiations. <br /> NOW THEREFORE, IN CONSIDERATION of the mutual covenants, terms, conditions <br /> and representations contained herein, the Parties agree as follows: <br /> AGREEMENT <br /> 1. The Commission and Charter will proceed in good faith with communications and <br /> negotiations in order to reach agreement on appropriate terms and conditions of renewed <br /> franchise(s). <br /> 2. The formal procedures and timelines for renewal set out in the Cable Act are hereby <br /> tolled. The Commission or Charter may reinstate such formal procedures under the <br /> Cable Act upon written notification to the other party. <br /> 3. Except as expressly provided herein, neither party waives any rights including any <br /> 1 <br />
