Go <br /> <br />Ho <br /> <br />Eaual Employment OpDortunity. The Parties agree to comply with all federal, <br />state and local laws, resolutions, ordinances, rules, regulations and <br />executive orders pertaining to unlawful discrimination on account of race, <br />color, creed, national origin, sex, marital status, status with regard to public <br />assistance, disability, handicapped status, age, or sexual orientation. <br /> <br />Entire Agreement. The Contract shall constitute the entire agreement <br />between the parties and shall supersede all prior oral and written <br />negotiations. <br /> <br />G~verning Law. The Contract shall be interpreted and construed according <br />to the laws of the State of Minnesota, excluding the State of Minnesota's <br />choice of law provisions. <br /> <br />Alteration Clause. Any alteration, amendment, modification or waiver of the <br />provisions of this Contract shall be valid only after it has been reduced to <br />writing and duly signed by both parties. <br /> <br />Termination. <br /> <br />In the event that the City and the County mutually agree in writing to <br />terminate this Contract, such termination shall take effect on the date <br />agreed upon by the parties. <br /> <br />This Contract may be terminated after thirty days (30) by the County <br />by written notice specifying the termination date in the event the <br />Service Agreement between the County and NSP is terminated. <br /> <br />o <br /> <br />Either party may terminate by reason of the default of the other party <br />following five (5) days written notice to the defaulting party, unless the <br />default has been cured within the thirty day period following notice of <br />default as provided in Section VIII.C. <br /> <br />In the event that any court finds this Contract, in whole or in part, to <br />be discriminatory or unconstitutional, or in any other way interferes <br />with the County's or City's ability to complete its obligations contained <br />herein, either party may immediately terminate the Contract. <br /> <br />o <br /> <br />In the event that the funds used to support the reduced tipping fees <br />in this Contract become unavailable due to depletion or any judicial <br />or administrative decision that the use or collection of said funds is in <br />any manner improper or illegal, the County may terminate this <br />Contract after thirty days written notice. <br /> <br /> <br />
