~I~n~c~u~ ~f rl~ <br />Memorandum of Understanding For Interim General Manager <br />Elk River Municipal Utilities and Vance Zehringer hereby agree to the following <br />conditions of employment for the position of Interim General Manager, Elk River <br />Municipal Utilities (ERMU). <br />Term of employment for the position of Interim General Manager shall be for six months <br />beginning on Nov 17, 2008, and is subject to cancellation with one months notice by <br />either ERMU or Vance Zehringer. The term of employment may be extended beyond six <br />months for an unspecified period of time as mutually agreed upon by ERMU and Vance <br />Zehringer. <br />Elk River Municipal Utilities agrees to hire Vance Zehringer for the position and term <br />described above with all the rights and privileges afforded ERMU's previous General <br />Manager, and further agrees to the terms and conditions as applies to pay and benefits as <br />follows: <br />Position shall be salaried with pay calculated at a rate of $55/hour X 40 hours per <br />week. A week in this instance, shall be described as a minimum of 36 hours a <br />week with the proviso that during non crucial times of business, additional time up <br />to 4 hours per week may be taken without penalty. <br />Benefits shall include the following: <br />Medical -ERMU shall reimburse Vance Zehringer for medical premiums paid for <br />his existing family medical plan not to exceed $500 per month. Present <br />premiums for 2009 are $402 per month. <br />Dental -ERMU shall include Vance Zehringer and spouse in the Company's <br />dental plan at the rate specified for other employees of ERMU. <br />Vacation -ERMU shall award Vance Zehringer paid vacation time based on 4 <br />weeks per annum. <br />Sick Leave -ERMU shall award Vance Zehringer sick leave as specified for other <br />employees of ERMU. <br />Liability Insurance -ERMU shall include Vance Zehringer in the Company's <br />liability insurance plan as specified for other employees of ERMU. <br />Company Vehicle -ERMU shall provide access to a company vehicle to conduct <br />Company business. <br />Vance Zehringer agrees to perform the duties as set forth in the attached Interim General <br />Manager Position Description in a professional manner and to the best of his abilities. <br />We, the undersigned agree to the terms and conditions as set forth in this Memorandum <br />,/~~ 9.
