The Party rendered unable to fulfill any obligation by reason of <br />uncontrollable forces shall exercise due diligence to remove such inability with all <br />reasonable dispatch; provided that the settlement of strikes or labor disputes by <br />acceding to the demands of the opposition in such strikes or labor disturbances <br />when such course is inadvisable in the discretion of the Party having such <br />difficulty. <br />c) Emergency transformer backup service may also be requested due to temporary <br />interruptions or reductions which are necessary or desirable for the purposes of <br />maintenance, repairs, replacements, installation of equipment, or investigation <br />and inspection. Each Party will give the other Party and other affected utilities <br />reasonable advance notice of such requests, except in case of emergency as <br />reasonably determined by the Party creating the interruption or reduction, or as <br />otherwise directed by the control area operator, and/or any governing or <br />regulatory entity, and will remove the cause thereof with all reasonable dispatch <br />in accordance with Good Utility Practice and subject to all applicable <br />requirements imposed by the control area operator, and/or any governing or <br />regulatory entity. <br />d) Both parties shall request emergency transformer backup service per the <br />following procedure guideline: <br />o Both parties agree to provide fault current protection measures to <br />prevent damage to each other's respective substation transformer and <br />plant equipment design. <br />o Both parties agree to contact the other office's dispatching center to <br />notify of emergency switching needs: <br />o To contact Wright-Hennepin dispatch (direct), call 763-477-5627 <br />• W-H dispatchers will seek clearance from W-H on-call <br />line crew, and may require on-site presence, depending <br />on the situation. <br />o To contact Elk River, call 763-441-2020 <br />o Both parties agree to apply proper tagging of equipment per their safety <br />standards. <br />o Both parties agree to not operate or alter any equipment where a tag has <br />been applied by the other entity. Tag removal must follow each <br />company's own standards and procedures. <br />e) Maintenance, other than emergency situations, shall require a reasonable <br />advance notice of up to 30 days or more to all Parties. The Owning Party shall be <br />physically and financially responsible for all maintenance and shall coordinate <br />their respective schedules for any such maintenance. The Owning Party will, to <br />the extent practical and appropriate under the circumstances, give reasonable <br />consideration to, among other things, the impact of the schedule on the other <br />Parties' operations; provided however, that no Party shall be obligated to <br />schedule such activities to coincide with another Party's scheduled outages, <br />except to the extent required by the control area operator, and/or any governing <br />or regulatory entity. <br />f) Each party agrees to charge the prevailing monthly rates that adequately match <br />the level of emergency service being received, in-line with respective wholesale <br />power contracts. Power usage will be charged at the supplying utility's <br />respective monthly average blended wholesale mil rate, or wholesale energy plus <br />coincident demand costs if usage occurs during a peak, whichever is higher. <br />
