AMENDED AND RESTATED <br /> ARTICLES OF INCORPORATION <br /> OF <br />ELK RIVER COMMUNITY THEATRE <br /> <br /> The undersigned, pursuant to a resolution adopted by the members and Board of <br />Directors of the Elk River Community Theatre, do hereby certify that the following is a true and <br />correct copy of the Amended and Restated Articles of Incorporation of the Elk River Community <br />Theatre: <br /> <br />.... -" : -'-'-'-,'4l~'--:~'il~,~';-for'tho'l~urpose of forming a' nonprofit' corporation pursuant to <br /> Minnesota Statutes Chapter 3 ! 7A, do hereby bind ourselves together as a body corporate and <br /> adopt thc following Articles of Incorporation: <br /> <br />ARTICLE I <br /> <br />Thc name of this corporation shall be the Three Rivers Community Theatre. <br /> <br />ARTICLE II <br /> <br /> The general purpose of this corporation shall be to promote community interest and/or <br />participation in ali aspects of the arts, especially the dramatic arts. The chief functions of this <br />corporation shall be to provide an opportunity for community exposure, and/or participation in <br />the culture of the theatre and other forms of art. <br /> <br /> This corporation is organized exclusively for educational purposes including for such <br />purposcs the making of distributions to organizations that qualify as exempt organizations under <br />scction 501 (C ~(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any <br />subsequent United States Internal Revenue Law). <br /> <br />ARTICLE I11 <br /> <br />The corporation shall afford no pecuniary gain to any director, officer or member. <br /> <br /> No part of the net earnings of the corporation shall inure to the benefit of, or be <br />distributable to its members, trustees, officers, or other private persons, except that the <br />corporation shall be authorized and empowered to pay reasonable compensation for services <br />rendered and to make payments and distributions in furtherance of the purposes set forth in <br />Article Third hereof. No substantial part of the activities of the corporation shall be carrying on <br />of propaganda, or otherwise attempting to influence legislation, and the corporation shall not <br />participate in, or intervene in (including the publishing or distribution of statements) any political <br />campaign on l:,ehalf of any candidate for public office. <br /> <br />840719 <br /> <br /> <br />
