<br />be distributed to a non-profit organization, the work of which is determined by a majority vote
<br />of the Board of Directors to be most in accord with the purposes of this corporation and which
<br />is then exempt from federal income taxation within the meaning of Section 501(c)(3) of the
<br />Internal Revenue Code. No distribution of the assets or property of this corporation shall ever
<br />be made to, or inure to the benefit of, any member, director or officer of this corporation, or
<br />to any private individual, within the meaning of Section SOI(c)(3) of the Internal Revenue Code.

<br />ARTIC~ X
<br />The Board of Directors may make such rules and regulations, not inconsistent with these
<br />Articles nor contrary to law, as may be deemed necessary or expedient for the management of
<br />the affairs of this corporation and to carry out its purposes.

<br />ARTICLE XI
<br />The members may amend these Articles of Incorporation of this corporation by a two-
<br />thirds (2/3) vote of a quorum at a duly constituted meeting.
