<br />. <br /> <br />( <br /> <br />. <br /> <br />( <br /> <br />. <br /> <br />/ ~ "-/..J() <br /> <br />43 D~' <br /> <br />ARTICLES OF INCORPORATION <br /> <br />OF <br /> <br />PROPER ECONOMIC RESOURCE MANAGEMENT, INC. <br />(PERM) <br /> <br />I, the undersigned, for the purpose of forming a non-profit corporation under the /' <br />provisions of Chapter 317A of Minnesota Statutes, known as the Minnesota Non-Profit <br />Corporation Act, do hereby associate as a body corporate and adopt the following Articles of <br />Incorporation. <br /> <br />AR~~I ~ <br />The name of this corporation shall be PROPER ECONOMIC RESOURCE ('I\ <br />MANAGEMENT, INC., (PERM). <br /> <br />ARTIC~ IT <br />The corporation is organized exclusively for charitable and educational purposes within <br />the meaning of Section 501(c)(3) of the Internal Revenue Code of 1954. <br /> <br />The focus of activity of this corporation shall be in the State of Minnesota. However, <br />its activities may be conducted outside of the State of Minnesota when appropriate. <br /> <br />lB the furtherance of its purposes, the corporation shall have power and authority to <br />engage in any and all lawful activities that may be reasonably necessary or convenient for the <br />accomplishment of any of its purposes, and to exercise all power and authority now or <br />subsequently conferred upon non-profit corporations organized under the laws of the State of <br />Minnesota. Such activities shall be limited as required for compliance with the provisions of <br />Section 501(c)(3) of the Internal Revenue Code. Specifically, the purpose of the corporation is <br />to develop and promote programs of an educational nature which promote use of manufacturing <br />and agricultural technology compatible with wise use of natural resources, and generally to <br />promote conservation of natural resources by all lawful means, not specifically prohibited <br />otherwise in these Articles. <br /> <br />ARTIC~ m <br />This corporation is organized as a non-profit corporation, and, therefore, it shall in no <br />way, directly or indirectly, incidentally or otherwise, afford pecuniary gain to any of its <br />members, directors or officers, nor shall any part of the net earnings of the corporation in any <br />way inure to the private benefit of any member, director or officer of the corporation or to any <br />private person or individual within the meaning of Section 501(c)(3) of the Internal Revenue <br /> <br />871416 <br />
