"Plans" means the plans and specifications~ prepared by the Architect for the construction of the Building, as amended or supplemented from time to time. "Project" means the Building, the Equipment and the Land. "Project Costs" or "Project Cost" means all costs of acquisition, betterment, design and construction of the Building and related improvements to the Land, including all architect, engineering and similar costs, Costs of Issuance, and capitalized interest on the Bonds. The term Project Costs includes Equipment but excludes Lessee Equipment. "Project Fund" means the project fund to be established under the Bond Resolution. "State" means the State of Minnesota. "Tax Exemption Agreement" has the meaning provided in Section 2.01(c) hereof. "YMCA" means Lessee, except that if the context so requires, "YMCA" refers generically to facilities similar to the Facilities and/or the entity that operates such facilities. Any term defmed in the Ground Lease but not defined herein shall have the same meaning herein unless the context hereof clearly requires otherwise. SectIOn 1.02. Characteristics of Certificate or Ooimon. Any Certificate made or given by an officer of the Authority or of the City or by an Independent engineer, architect, consultant or other person may be based, insofar as it relates to legal matters, upon an Opinion of Counsel, unless such person knows or, in the exercise of reasonable care should know, that the opinion with respect to the matters upon which the Certificate may be based as aforesaid is erroneous. Any such Certificate or Opinion of Counsel may be based, insofar as it relates to factual matters, upon information which is in the possession of the Authority or the City, or upon a supporting Certificate of an officer or officers of the Authority or the City, unless the signer knows or, in the exercise of reasonable care should know, that the supporting Certificate with respect to the matters upon which the Certificate or Opinion of Counsel may be based as aforesaid is erroneous. Section 1.03. Additional Provisions as to Interoretation. All references herein to "Articles," "Sections" and other subdivisions are to the corresponding Articles, Sections or subdivisions of this Lease; and the words "herein," "hereof," "hereunder" and other words of similar import refer to this Lease as a whole and not to any particular Article, Section or subdivision hereof. 5
