<br />ARTICLE I <br /> <br />DEFINITIONS AND INTERPRETATION <br /> <br />Section 1.01. Definitions. Unless the context otherwise requires, the terms defined in this <br />Article I and in the recitals and succeeding Articles of this Lease shall, for all purposes of this Lease and <br />of any amendment hereto, have the meanings herein specified, such definitions to be equally applicable to <br />both the singular and plural forms of any of the terms defined: <br /> <br />"Additional Rent" means the payments made by Lessee to Lessor pursuant to Section 3.02 hereof. <br /> <br />"Architect" means BWBR Architects, Inc., a Minnesota corporation, its successors and assigns. <br /> <br />"Authority" or "Lessor" means the Economic Development Authority for Elk River, Minnesota, a <br />public body corporate and politic and political subdivision of the State of Minnesota, and its successors <br />and assigns. <br /> <br />"Authorized City Representative" means the City Administrator of the City or such other person <br />at any time designated to act on behalf of the City by written certificate furnished to Lessor and Lessee <br />containing the specimen signature of such person and signed on behalf of the City by the City <br />Administrator. Such certificate may designate an alternate or alternates. <br /> <br />"Allthorized Lessee Representative" means the Chief Executive Officer or Chief Financial <br />Officer of Lessee or such other person at any time designated to act on behalf of Lessee by written <br />certificate furnished to Lessor and the City, containing the specimen signature of such person and signed <br />on behalf of Lessee by the Chief Executive Officer or the Chief Financial Officer of Lessee. Such <br />certificate may designate an alternate or alternates. <br /> <br />"Authorized Lessor Representative" means the President or Executive Director of Lessor or such <br />other person at any time designated to act on behalf of Lessor by written certificate fumished to Lessee <br />and the City, containing the specimen signature of such person and signed on behalf of Lessor by the <br />President or Executive Director of Lessor. Such certificate may designate an alternate or alternates. <br /> <br />"Basic Rent" means the payments made by Lessee to Lessor pursuant to Section 3.0 I hereof. <br /> <br />"Board" means the board of commissioners of the Authority and any successor as governing body <br />of the Authority. <br /> <br />"Bond Counsel" means any firm of nationally recognized bond counsel experienced in tax <br />exempt private activity bond financing acceptable to the Authority. <br /> <br />"Bond Documents" means the Authority's resolution awarding sale of the Bonds, the Tax <br />Exemption Agreement and the other documents required as a condition for the issuance of the Bonds by <br />the Authority. <br /> <br />"Bond Resolution" means the resolution to be approved by Lessor authorizing sale of the Bonds. <br /> <br />"Bonds" means the Authority's General Obligation Recreational Facility Bonds, in the aggregate <br />principal amount not to exceed the Maximum Bond Amount, and any bonds issued to refund such bonds. <br /> <br />2 <br />
