Park agrees to complete the Evans Park Projects, and to pay or cause to be paid amounts <br />in repayment of the Series 1998 C Loan; and <br /> <br /> e. Trust Indenture (the "Indenture") dated as of August 1, 1998, between <br />the City and Norwest Bank Minnesota, National Association, as Trustee (the "Trustee"), <br />setting forth the general terms and provisions of the Bonds and setting forth proposed <br />recitals, covenants and agreements relating thereto; and <br /> <br /> f. First Supplemental Trust Indenture (the "First Supplemental Indenture" <br />and together with the Indenture, collectively referred to as the "Consolidated <br />Indenture") dated as of August 1, 1998, between the City and the Trustee, <br />supplementing the Indenture and setting forth the terms and provisions of the Bonds, <br />and pledging revenues, including those to be derived from the Loan Agreements, as <br />security for the Bonds, and setting forth proposed recitals, covenants and agreements <br />relating thereto; and <br /> <br /> g. Combination Mortgage, Security Agreement and Fixture Financing <br />Statement and Assignment of Leases and Rents (the "Series 1998 B Mortgage") <br />dated as of August 1, 1998, from Guardian Angels to the City, granting a mortgage <br />lien on and security interest in the Series 1998 B Project Facilities, as mortgaged <br />thereunder, in order to provide security for Guardian Angels' obligations under the <br />Series 1998 B Loan Agreement; and <br /> <br /> h. Combination Mortgage, Security Agreement and Fixture Financing <br />Statement and Assignment of Leases and Rents (the "Series 1998 C Mortgage" and <br />together with the Series 1998 B Mortgage, collectively referred to as the <br />"Mortgages") dated as of August 1, 1998, from Evans Park to the City, granting a <br />mortgage lien on and security interest in the Series 1998 C Project Facilities, as <br />mortgaged thereunder, in order to provide security for Evans Park's obligations <br />under the Series 1998 C Loan Agreement; and <br /> <br /> i. Guaranty Agreement (the "Series 1998 C Guaranty") dated as of <br />August 1, 1998, from Guardian Angels of Elk River, Inc., a Minnesota nonprofit <br />corporation (the "Series 1998 C Guarantor") to the Trustee, guaranteeing Evans <br />Park's obligations under the Series 1998 C Loan Agreement (this document not to <br />be executed by the City); and <br /> <br /> j. Assignment of Mortgage (the "Series 1998 B Assignment") dated as <br />of August 1, 1998, from the City to the Trustee, by which the City assigns to the <br />Trustee its interest in the rights granted by Borrower 1998 B to the Mortgagee <br />under the Series 1998 B Mortgage, and all with respect to the property mortgaged <br />under the Series 1998 B Mortgage; and <br /> <br />3 <br /> <br /> <br />
