NSP has sold the <br />Facility to NRG Energy, Inc. (NRG), and assigned to NRG all of <br />its rights and interests under this Permit. The City has <br />consented to this assignment, on condition that NSP agree to <br />guarantee NRG's compliance with the conditions of this Permit. <br />NSP, by its execution of this Permit, agrees to guarantee NRG's <br />compliance with the conditions of this Permit, and warrants that <br />NSP will bring the Facility into compliance with the conditions <br />of this Permit in the event that NRG fails to do so.
