NSP has <br />sold the facility to NRG Energy, Inc. (NRG), and assigned to NRG <br />all of its rights and interests under this License. The City has <br />consented to this assignment, on condition that NSP agree to <br />guarantee NRG's compliance with the conditions of this License. <br />NSP, by its execution of this License, agrees to guarantee NRG's <br />compliance with the conditions of this License, and warrants that <br />NSP will bring the Facility into compliance with the conditions <br />of this License in the event that NRG fails to do so.
