1 <br /> <br />PROFESSIONAL SERVICES AGREEMENT <br /> <br />BETWEEN: The City of Elk River <br /> <br />AND: Main Street Family Services <br /> <br />EFFECTIVE DATE: ___ day of ___________, 2025 <br /> <br /> <br /> This Professional Services Agreement (this “Agreement”) is made and entered into this <br />___ day of ___________, 2025 (the “Effective Date”) by and between the City of Elk River, a <br />political subdivision of the State of Minnesota (the “City”), 13065 Orono Parkway Elk River, MN <br />55330, and Main Street Family Services, a Minnesota nonprofit corporation, 400 Jackson Avenue <br />NW, Suite 101 Elk River, MN 55330 (the “Consultant”). <br /> <br /> <br />RECITALS <br /> <br /> WHEREAS, the City is in need of a service provider to administer Minnesota Statewide <br />Affordability Housing Aid allocated to the City (the “Project”); and <br /> <br /> WHEREAS, the Consultant meets the needs of the City and is willing to provide the <br />services provided for in this Agreement. Further, pursuant to Minnesota Statute § 471.59, the City <br />has the authority to contract for services and the Consultant has the authority to enter into an <br />Agreement for such services. <br /> <br /> <br />AGREEMENT <br /> <br />1. TERM. <br /> <br /> Notwithstanding the date of the signatures of the parties to this Agreement, the term of this <br />Agreement shall commence on the Effective Date and, unless earlier terminated pursuant <br />to this Agreement, shall terminate on December 31, 2026. <br /> <br />2. DUTIES OF THE CONSULTANT. <br /> <br /> 2.1 Consultant’s Services. The Consultant shall provide professional services related <br />to the administration of Minnesota Affordability Housing Aid allocated to the City, as <br />described in Exhibit A, attached, and made a part of this Agreement. All services provided <br />by the Consultant shall be for the benefit of persons residing or found in the City of Elk <br />River. The Consultant shall confer with the City’s Authorized Representative as often as <br />is necessary in connection with the services to be performed under this Agreement. <br /> <br /> 2.2 Personnel. All work the Consultant is to perform shall be performed by competent <br />and qualified personnel. Consultant’s Executive Director will have primary responsibility <br />Page 58 of 322
