Subiect to the following, all retainage will be released to Construction Manager no later than sixty (60) days after
<br />Substantial Completion. "Substantial Completion" shall be determined by the Architect consistent with the
<br />definition in Minnesota Statutes, Section 541.051, subd. 1 ( a). After Substantial Completion, Owner may
<br />withhold: (1) two hundred and fifty percent (250%) of the estimated cost to correct or complete Work known at
<br />the time of Substantial Completion, and (2) one percent ,1 %) of the value of the contract or $500.00, whichever is
<br />greater, pending completion and submission of all final paperwork by Construction Manager. If Owner withholds
<br />payments under this paragraph, it will provide a written statement to Construction Manager detailing the amount
<br />and basis of the withholding. Owner will pay any amounts withheld under clause (1) within sixty (60) days after
<br />completion or correction of the Work, as determined by Architect. Owner will pay any amounts withheld under
<br />clause (2) after submission of all final paperwork, as determined by Owner.

<br />§ 14.3.1.1 Commercial General Liability with policy limits of not less than One million and no1100 dollars ($ -

<br />§ 14.3.1.2 Automobile Liability covering vehicles owned, and non -owned vehicles used, by the Construction

<br />bodily injury, death of any person, and property damage arising out of the ownership, maintenance and use of
<br />those motor vehicles, along with any other statutorily required automobile coverage.
<br />§ 14.3.1.4 Workers' Compensation at statutory limits and Employers Liability with policy limits not less than {$
<br />One million and no/100 dollars ($ 1,000,000.00 ) each accident, ($-One million and not100 dollars
<br />1,000,000.00 ) each employee, and One mullion and no1100 dollars ($ 1,000,000.00 ) policy limit.
<br />§ 14.3.1.5 Professional Liability covering negligent acts, errors and omissions in the performance of professional
<br />services, with policy limits of not less than {-One million and no1100 dollars !$ 1.000.000.00 ) per claim and {
<br />One million and no1100 dollars !$ 1.000.000.00 ) in the aggregate.

<br />§ 14.5-1 Non -Discrimination. Construction Manager shall ensure that no person shall on the grounds of race, color,
<br />religions, sex, sexual orientation, gender identity, handicap, familial status, or national origin be excluded from
<br />participation in, be denied the benefits of, or be subiected to discrimination under any scope of work carried out by
<br />Construction Manager or any Subcontractors of any tier. The Construction Manager agrees to be bound by the
<br />provisions of Minnesota Statutes, Section 181.59, that prohibits certain discriminatory practices and the tertns of
<br />said section are incorporated into this Agreement.
<br />14.5.2 Affirmative Action. Owner's Affnmative Action Plan shall be made available to the Construction
