Termination, Generally. Any Party may terminate this Agreement for any reason <br />by giving 30 days' prior written notice of its intent to terminate to the other Parties. All notices of <br />termination shall be made by certified mail or personal delivery to the Authorized Representative <br />of the other Parties. Termination of this Agreement shall not discharge any liability, responsibility <br />or right of any Party, which arises from the performance of or failure to adequately perform the <br />terms of this Agreement prior to the effective date of termination. <br />9.2. Termination for Cause. In addition, any Party may terminate this Agreement for <br />cause by giving seven days' prior written notice of its intent to terminate the Agreement to the <br />other Parties. Any such notice to terminate for cause shall specify the circumstances warranting <br />such termination of the Agreement. "Cause" shall mean a material breach of this Agreement and <br />any supplemental agreements or amendments thereto. <br />ARTICLE 11 MISCELLANEOUS <br />11.1. Minnesota Law. This Agreement shall be governed by and construed in accordance <br />with the substantive and procedural laws of the State of Minnesota, without giving effect to the <br />principles of conflict of laws. All proceedings related to any dispute arising under this Agreement <br />shall take place in the County of Sherburne, State of Minnesota. <br />236613v2 <br />Page 71 of 104 <br />
