Page | 3 MVA/Furniture and Things Community Event Center Location Agreement <br /> <br />average weekly share of collections multiplied by the number of weeks remaining in the unexpired term <br />of this Agreement. Such damages shall become immediately due and payable upon the breach. In <br />addition, MVA shall be entitled to recover from Location all costs and expenses, including reasonable <br />attorney fees, for the collection of amounts due under this Agreement. Liquidated damages as described <br />shall be paid to compensate MVA for lost income and not as a penalty enforced against Location. <br /> <br />8. The parties hereto undertake this agreement on behalf of themselves, their heirs, assigns, <br />successors or persons who may come into possession of said premises, or any part thereof, in any <br />manner whatsoever. This agreement shall be binding on any business or firm succeeding the business of <br />the Location, including by way of acquisition or merger, and shall apply to any other address to which <br />the business of Location is moved. <br /> <br />9. This instrument contains the entire agreement between the parties and supersedes any and all <br />agreements previously made. Any oral representations or modifications concerning this instrument shall <br />be of no force and effect excepting a subsequent modification in writing signed by all the parties. Both <br />parties’ signatures below acknowledge their understanding and ascent to the contents of this agreement. <br /> <br />10. In the event of any controversy, claim or dispute between the parties hereto, arising out of or <br />relating to this agreement of the breach thereof, the prevailing party shall be entitled to recover as part of <br />its judgement reasonable expenses, attorneys’ fees and costs. <br /> <br />11. This agreement, executed and delivered in the state of Minnesota, shall be governed by and <br />construed in accordance with the laws of the state of Minnesota. <br /> <br />IN WITNESS WHEREOF, the parties hereto have executed these presents the day and year first <br />above written. <br /> <br />By: Mendota Valley Amusement, Inc.
