AMENDMENT NO. 1 WSB PROJECT NO. 022029-000 2023 WCA SERVICES THIS AMENDMENT No. 1 to the Standard Agreement For Professional Services between the Parties effective March 8, 2023, is made and entered into this 19th day of October 2023 ("Effective Date"), by and between the City of Elk River, Minnesota, whose business address is 13065 Orono Parkway, Elk River, MN 55330 ("City") and WSB LLC whose business address is 701 Xenia Avenue South, Suite 300, Minneapolis, MN 55416 ("Consultant") for the following project: 2023 WCA Services ("Project") (together, the "Parties," and each, a "Party"). RECITALS WHEREAS, the Parties have entered into a Standard Agreement For Professional Services effective March 8, 2023, in connection with the Project (the "Existing AgreemenY'); and WHEREAS, the Parties hereto desire to amend the Existing Agreement on the terms and subject to the conditions set forth herein. NOW THEREFORE; in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: Amendments to the Existin A reement. The.Existing Agreement is hereby amended or modified as follows: a. Article 3. Compensation for Services of the Existing Agreement is hereby replaced with the following: City agrees to pay the Consultant on an hourly, no limit basis during the calendar year 2023 for the `Work'. b. Article 9. Term of the Existing Agreement is hereby replaced with the following: The term of the Agreement shall be through December 31, 2023. This Agreement shall automatically renew for one-year terms absent written notice of termination served upon the other party no later than thirty (30) days prior to the expiration of any term or renewal. Except as expressly provided in this Amendment, all of the terms and provisions of the Existing Agreement are and will remain in full force and effect and are hereby ratified and confirmed by the Parties.
