<br />of any kind pursuant to an agreement providing that the consummation of the transaction will occur <br />after the expiration of the Term or any Renewal Term. Lessee’s contingent right of first refusal <br />expires automatically upon the first to occur of (a) the expiration of the Term or any Renewal <br />Term, whether pursuant to its terms or as a result of the City’s exercise of its rights thereunder; or <br />(b) consummation of the City’s sale of the Leasehold Property pursuant to an agreement as to <br />which Lessee has no right of first refusal thereunder; or (c) the occurrence of an Event of Default <br />as defined in the Amended and Restated Ground Lease Agreement. Upon expiration of Lessee’s <br />contingent right of first refusal, Lessee shall have no further rights whatever to purchase the <br />Leasehold Property. Lessee shall not sell, assign, sublease, mortgage, pledge, or hypothecate or <br />otherwise transfer all or any part of its interest in the Amended and Restated Ground Lease <br />Agreement, or the Improvements on the Leasehold Property, including without limitation its <br />contingent right of first refusal, without the express written consent of the City, which consent <br />shall not be unreasonably withheld. <br />6. Amended and Restated Ground Lease Agreement to Control. The parties intend <br />this Agreement to operate solely as a recorded summary of certain provisions of the Amended and <br />Restated Ground Lease Agreement. In the event that the provisions as stated herein contradict or <br />are different from the terms and provisions of the Amended and Restated Ground Lease <br />Agreement, the terms and provisions of the Amended and Restated Ground Lease Agreement shall <br />control. <br />7. Consent to Assignment of the Easement Agreement. The Original Lessee assigned, <br />and Lessee assumed, the Original Lessee’s right, title, and interest in and to that certain Parking <br />and Access Easement, recorded in the Office of the Sherburne County Recorder on March 24, <br />1999, as Document No. 386073 (the “Easement Agreement”). The City hereby consents to such <br />assignment of the Easement Agreement and certifies that the Easement Agreement is in full force <br />and effect. <br />\[Signature page follows\] <br />3 <br />2067394.0015/184093281.2 <br /> <br />
