AGREEMENT CITY OF ELK RIVER _ _ SHERBURNE C4UNTY, MINNESOTA YOUTH ATHI.,ETIC COMPLEX GARAGE QIJEST ID # 8444162 AGREEMENT made this day of , 20 , between the CTTY OF Elk River, a Minnesota municipal corporation ("City"), and Dahlheimer Gonstruction Inc., a corporation organized and e�sting under the laws of the State of Minnesota ("Contractor"). IN CONSIDERATION OF THE MUTUAL UNDERTAKINGS HEREIN CONTAINED, THE PARTIES AGREE AS FOLLOWS: 1. CONTRACT DOCUMENTS. The following documents sha11 be referred to as the "Contract Documents", a11 of whic� sha11 be taken together as a whole as the contract between the parties as if they were set verbatim and in full herein: A. This Ageement B. Proj ect Description; Specifications, or Proposal dated 5-1 &2023 C. Quote dated 6-8-2023 D. Certificate and Insurance Policy In the event of conflict among the provisions of the Contract Documents, the order in which they are listed above sha11 control in resolving any such conflicts with Contract Document "A" having the first priority and Contract Dociunent "C" having the last priority. 2. OBLIGATIONS OF THE CONTRACTOR. The Contractor sha11 provid,e the goods, services, and perform the work in accordance with the Contract Documents and in compliance with federal, state and local laws. This contract may be terminated by the City at any time upon discovery by the City that the Contractor or any of its subcontractors has submitted a false statement under oath verifying compliance with any of the minimum criteria set forth in Minn. Stat. § 16C.285, Subdivision 3, the Responsible Contractor statute. 3. UBLIGATIONS OF THE CITY. The City sha11 pay the Contractor the sum of $ G6,451 inclusive of sales tax. 4. ASSIGNMENT. Neither party may assign, sublet, or transfer any interest or obligation in this Contract without the prior written consent of the other party, and then only upon such terms and conditions as both parties may agree to and set forth in writing. 221668v1
