AGREEMENT <br />CITY OF ELK RIVER _ _ <br />SHERBURNE C4UNTY, MINNESOTA <br />YOUTH ATHI.,ETIC COMPLEX GARAGE <br />QIJEST ID # 8444162 <br />AGREEMENT made this day of , 20 , between the <br />CTTY OF Elk River, a Minnesota municipal corporation ("City"), and <br />Dahlheimer Gonstruction Inc., a corporation organized and e�sting under the laws of the State of <br />Minnesota ("Contractor"). <br />IN CONSIDERATION OF THE MUTUAL UNDERTAKINGS HEREIN <br />CONTAINED, THE PARTIES AGREE AS FOLLOWS: <br />1. CONTRACT DOCUMENTS. The following documents sha11 be referred to as the <br />"Contract Documents", a11 of whic� sha11 be taken together as a whole as the contract between the <br />parties as if they were set verbatim and in full herein: <br />A. This Ageement <br />B. Proj ect Description; Specifications, or Proposal dated 5-1 &2023 <br />C. Quote dated 6-8-2023 <br />D. Certificate and Insurance Policy <br />In the event of conflict among the provisions of the Contract Documents, the order in which they are <br />listed above sha11 control in resolving any such conflicts with Contract Document "A" having the first <br />priority and Contract Dociunent "C" having the last priority. <br />2. OBLIGATIONS OF THE CONTRACTOR. The Contractor sha11 provid,e the <br />goods, services, and perform the work in accordance with the Contract Documents and in compliance <br />with federal, state and local laws. This contract may be terminated by the City at any time upon <br />discovery by the City that the Contractor or any of its subcontractors has submitted a false statement <br />under oath verifying compliance with any of the minimum criteria set forth in Minn. Stat. § 16C.285, <br />Subdivision 3, the Responsible Contractor statute. <br />3. UBLIGATIONS OF THE CITY. The City sha11 pay the Contractor the sum of <br />$ G6,451 inclusive of sales tax. <br />4. ASSIGNMENT. Neither party may assign, sublet, or transfer any interest or <br />obligation in this Contract without the prior written consent of the other party, and then only upon <br />such terms and conditions as both parties may agree to and set forth in writing. <br />221668v1 <br />
