DocuSign Envelope ID: 58FE3CF5-7330-4F18-9C60-B177A84C616D <br />"Endpoint" means a sensory -type device, including, but not limited to, Meter, distribution <br />automation (DA) device, and load control switch that is equipped with a Module. <br />"Equipment" means Network Equipment, Endpoints, Meters, Modules, Router, and any other <br />hardware that ERMU purchases from Distributor. <br />"Equipment Warranty Period" means the duration of the Manufacturer's warranty as defined <br />in the Manufacturer's warranties attached hereto in Attachment X. <br />"Final System Acceptance" means that ERMU has at the completion of Phase II Full Delivery, <br />accepted the Work provided by Distributor after Distributor and ERMU, in cooperation with the <br />Manufacturer (defined below), have performed a FSAT with results satisfactory to ERMU as <br />measured against the System Acceptance Test criteria set forth in Attachment V. <br />"FSAT" means Final System Acceptance test after Phase 11. <br />"Firmware" means software embedded in and provided with the Equipment. <br />"Initial System Acceptance" means the ERMU has, within six (6) months after completing the <br />Phase I Initial Deployment, accepted the Work provided by Distributor after ERMU and <br />Distributor have jointly performed an ISAT, with cooperation of the Manufacturer, defined <br />below, with results satisfactory to ERMU as measured against the System Acceptance Test <br />criteria set forth in Attachment V. <br />"ISAT" means Initial System Acceptance test after Phase I. <br />"Life Expectancy" means a term of fifteen (15) years beginning on the date of Final System <br />Acceptance. <br />"Manufacturer" means Sensus USA, Inc. <br />"Meter" means a device that measures the supply of electricity and water provided by ERMU. <br />"Module" means a device used to connect to the AMI System that ERMU purchases from <br />Distributor. <br />"Network Equipment" means the Collectors, Routers, fiber optic interface points, and radios <br />for radio frequency (RF) that are, or will be, under this Agreement physically deployed for <br />ERMU. The term does not include the AMI System backhaul, the network operations center, or <br />Meters. <br />"Non -Associating Meter" means an installed Meter and Module that have not established <br />communication with the AMI System within twenty-four (24) hours of the installation time <br />during Phase I and 11 or has lost communication with the AMI System for a period of twenty- <br />four (24) or more hours. <br />Elk River Municipal Utilities <br />Core & Main LP <br />
