into an agreement with others for completion of the contract according to the terms and provisions thereof <br />or to use such other methods as may be required to complete the contract in an acceptable manner. <br />All costs and charges incurred by the city together with the cost of completing the work under contract, will <br />be deducted from any monies due or which would have been payable under the contract if it had been <br />completed by the contractor. In case the expense so incurred by the city exceeds the sum which would have <br />been payable under the contract, then the contractor shall be liable for the excess. <br />5.80 Cancellation of Contract <br />When it is the finding of the city that the contractor is unable to obtain necessary labor or materials or is <br />otherwise prevented from proceeding with the work because of or under limitations imposed by law, rule, <br />regulation, or order of government or on account of any action of the public enemy, including those related <br />to priorities and third party actions, the contractor will be relieved of his or her obligations for performing <br />such portions of the contract that are delayed unreasonable thereby. The right is reserved to eliminate, in <br />conjunction therewith, such other incomplete portions of the contract as may be rendered useless, <br />unnecessary, or undesirable thereby. Also, the city reserves the right to make such alterations in the plans <br />and specifications as it deems necessary to complete the work to the extent possible under the <br />circumstances. <br />Termination without cause. Notwithstanding and provisions of this contract to the contrary, the city shall <br />have the right, in its sole option and discretion, to terminate this contract in its entirety or to terminate <br />service provider's obligations with regard to particular location(s), upon fifteen (15) days prior written <br />notice. <br />Termination of the contract or any portion thereof shall not relieve the contractor of his or her <br />responsibilities for the completed work nor shall it relieve the contractor of his or her obligations for and <br />concerning any just claims arising out of the work performed. <br />23 <br />
