Economic Development Authority Minutes Page 3 January 17, 2023 8.3 Review of Enabling Resolution Mr. O'Neil presented the staff report. Moved by Commissioner Blesener and seconded by Commissioner Hartwig to adopt the recommended changes consolidating and restating the EDA enabling resolution as outlined in the staff report. Motion carried 7-0. 8.4 Review Bylaws Mr. O'Neil presented the staff report. Commissioner Westgaard asked about the selection of a chair "periodically" in section 5.3. "The Chair of the Finance Committee shall be selected by the Committee on a periodic basis and shall be an HRA or Authority Commissioner." The Commission agreed that the chair should be elected bi-annually in odd number years at the first meeting of the Joint Finance Committee in that year. Commissioner Wagner asked if the Together Elk River and Public Art Committees were being removed and can be added later. Mr. O'Neil stated that he would bring additional language concerning ongoing and temporary subcommittees to a future EDA meeting. Moved by Commissioner Blesener and seconded by Commissioner Grupa to adopt Resolution 23-01 approving amendments to the EDA bylaw as outlined in the staff report and include an amendment to section 5.3 to select a chair of Joint Finance Committee biannually, in odd number years, at the first meeting of the year. Motion carried 7-0. 8.5 Designation of Committee Appointments Mr. O'Neil presented the staff report and stated current committee designation is as follows: EDA-HRA Joint Finance Committee — Dan Tveite and Charlie Blesener Together Elk River — Jennifer Wagner and Charlie Blesener Moved by Commissioner Westgaard and seconded by Commissioner Hartwig to appoint Dan Tveite and Charlie Blesener to the EDA-HRA Joint Finance Committee for 2023 and to appoint Jennifer Wagner and Charlie Blesener to the Together Elk River Committee for 2023.
