<br />SHORT TITLE AND DEFINITI9NS
<br />The Ordinance shall be knowIi and cited as

<br />GRANT OF AUTHORITY
<br />AND GENERAL PROVISIONS
<br />SECTION I. GRANT OF. FRANCHISE
<br />AND ACCEPTANCE' .
<br />, The City grants to Rite Cable a non-
<br />exclusive frimchise to be, properly executed
<br />and acknowledged by' Rite Cable and
<br />'delivered to City. Rite Cable shall deposit
<br />with City a non-refundable acceptance fee for
<br />the purpose of deferring the costs and .ex-
<br />pense's of. development of the franchise.
<br />Security deposits, letters of credit, cer-
<br />tificates of insurance, bonds, and organiza-
<br />tionaland creation documents of the com-
<br />pany must be delivered to City.' .
<br />. SECTION 2. AUTHORITY GRANTED
<br />. The City grants to Rite Cable permission
<br />to use the streets for eI:ecting, constructing,

<br />SECTION 3. AGREEMENT
<br />Rite Cable agrees to be bound by all terms

<br />Rite Cable must obtain a regular certificate
<br />of confirmation from the Minnesota State
<br />Cable Board.

<br />ARTICLE III.
<br />DESIGN OF SYSTEM
<br />SECTION 1. CHANNEL CAP AC.ITY
<br />SUBSCRIBER NETWORK
<br />A system <<;apable of providing at least 53
<br />downstream video channels and four fully ac-
<br />tivated upstream chllimels shall be con-
<br />structed pursuant to the conditions of the
<br />proposal of Rite Cable.
<br />SECTION 2. PICTURE QUALITY AND
<br />TECHNICAL REQUIREMENTS.
<br />Rite' Cable will be required to transmit a
<br />signal to the subscriber, and further to comp-
<br />ly with all technical sti.andards of their pro-
<br />posal and Federal Communications Commis- .
<br />sion requirements.
<br />SECTION 3. TWO-WAY CAPACITY
<br />Rite Cable shall initially activate return
<br />channels at the time of system activation as
<br />required by this section.
<br />SECTION 4. FACILITIES
<br />Rite Cable shall construct its facilit~esas
<br />,t forth in its proposal to the,City.

<br />potential liability for persons damaging Rite
<br />Cable capabilities.
<br />ARTICLE VI.
<br />SYSTEM OPERATIONS

<br />. SECTION 5. FRANCHISE RENEWAL
<br />The 'franchise IIlay be renwed a.t any time
<br />for a period of up to fifteen years or on a year
<br />to y!lar basis at the sole discretion of the Ci-

<br />ARTICLE VII.
<br />INDEMNIFICATION,INSUltANCE,
<br />LETTER OF CREDIT AND BOND
<br />SECTION 1. GENERAL
<br />The City retains all rights of indemnifica:
<br />tion, insurance, letter of credit or bond as
<br />provided in the franchise.
<br />SECTION 2. INDEMNIFICATION AND
<br />INSURANCE
<br />Rite Cable shall fully indemnify, defend
<br />and, hold harmless, City and all of its agents
<br />and employees from liability and judgments
<br />for damages in connection with: Damage to

<br />the franchise, Rite Cable's failure to com~ly
<br />with provisions of the franchise, or any claim

<br />SECTION 3. INSURANCE

<br />for' amouns as specified in the franchise and.
<br />pursuant to the minimum requirements of

<br />SECTION 4.,LETTER OF CREDIT
<br />Rite Cable shall maintain an irrevocable
<br />a~d unconditional Letter of Credit. The l~tter
<br />of Credit shall provide that funds be paid tp
<br />the City upon demand by the C!t~ pursuant
<br />to the procedures and ~mm~m re-
<br />quirements of this section. ThiS sectIOn fur-

<br />penalties such as failure to ~onstruct the

<br />ministrator the Commission attorney, the
<br />local office' of Rite Cable, the office of any
<br />school district in the, City, and the St~te
