<br />- 8 - <br />Passive Investment Income of S Corporations <br /> <br />Passive investment income, including interest on the Series 2021C Bonds, may be subject to federal income <br />taxation under Section 1375 of the Code for an S corporation that has Subchapter C earnings and profits at <br />the close of the taxable year if more than a certain percentage of the gross receipts of such S corporation is <br />passive investment income. <br /> <br /> <br />General <br /> <br />The preceding is not a comprehensive list of all federal or State tax consequences which may arise from the <br />receipt or accrual of interest on the Series 2021C Bonds. The receipt or accrual of interest on the Series <br />2021C Bonds may otherwise affect the federal income tax (or Minnesota income tax or franchise tax) liability <br />of the recipient based on the particular taxes to which the recipient is subject and the particular tax status of <br />other items of income or deductions. All prospective purchasers of the Series 2021C Bonds are advised to <br />consult their own tax advisors as to the tax consequences of, or tax considerations for, purchasing or holding <br />the Series 2021C Bonds. <br /> <br /> <br /> <br /> NOT BANK-QUALIFIED TAX-EXEMPT OBLIGATIONS <br /> <br /> <br />The Series 2021C Bonds will not be designated as “qualified tax-exempt obligations” for purposes of <br />Section 265(b)(3) of the Code relating to the ability of financial institutions to deduct from income for federal <br />income tax purposes, interest expense that is allocable to carrying and acquiring tax-exempt <br />obligations. Financial institutions are not generally entitled to a deduction for interest expenses allocable to <br />the owners of tax-exempt obligations purchased after August 7, 1986. <br /> <br /> <br /> RATING <br /> <br /> <br />Application for a rating of the Series 2021C Bonds has been made to S&P Global Ratings (“S&P”), 55 Water <br />Street, New York, New York. If a rating is assigned, they will reflect only the opinion of S&P. Any <br />explanation of the significance of the ratings may be obtained only from S&P. <br /> <br />There is no assurance that a rating, if assigned, will continue for any given period of time, or that such rating <br />will not be revised, suspended or withdrawn, if, in the judgment of S&P, circumstances so warrant. A <br />revision, suspension or withdrawal of a rating may have an adverse effect on the market price of the Series <br />2021C Bonds. <br /> <br /> <br /> MUNICIPAL ADVISOR <br /> <br /> <br />The City has retained Baker Tilly Municipal Advisors, LLC as municipal advisor in connection with certain <br />aspects of the issuance of the Series 2021C Bonds (the “Municipal Advisor” or “BTMA”). BTMA is a <br />registered municipal advisor and a wholly-owned subsidiary of Baker Tilly US, LLP (“BTUS”), an <br />accounting firm and has been retained by the City to provide certain financial advisory services including, <br />among other things, preparation of the deemed “nearly final” Preliminary Official Statement and the Final <br />Official Statement (the “Official Statements”). The information contained in the Official Statements has been <br />compiled from records and other materials provided by City officials and other sources deemed to be <br />reliable. The Municipal Advisor has not and will not independently verify the completeness and accuracy of <br />117
