3. Terms of Proposal. The terms and conditions of the Bonds and the negotiation <br /> thereof are fully set forth in the "Terms of Proposal" attached hereto as Exhibit A and hereby <br /> approved and made a part hereof. <br /> 4. Official Statement. In connection with said competitive negotiated sale, the <br /> Finance Manager and other officers or employees of the Commission are hereby authorized to <br /> cooperate with Baker Tilly and participate in the preparation of an official statement for the <br /> Bonds, and to execute and deliver it on behalf of the Commission upon its completion. <br /> 5. Request to City Council. The Commission hereby requests that the City Council <br /> of the City adopt a resolution on April 19, 2021, approving the issuance of the Bonds and <br /> authorizing the Commission to take actions necessary and sufficient to provide for the issuance <br /> of the Bonds. <br /> The motion for the adoption of the foregoing resolution was duly seconded by member <br /> Matt Westgaard and, after full discussion thereof and upon a vote being taken thereon, the <br /> following voted in favor thereof: <br /> Chair John Dietz <br /> Commissioner Paul Bell <br /> Commissioner Al Nadeau <br /> Commissioner Mary Stewart <br /> Commissioner Matt Westgaard <br /> and the following voted against the same: None <br /> Whereupon said resolution was declared duly passed and adopted. <br /> 2 <br /> EL 185-69-710069.v 1 <br />
